Value Increase definition

Value Increase shall have the meaning ascribed to it in Section 2.4(d)(i).
Value Increase means, the aggregate value of Shares outstanding at such time, minus the product of (A) the number of Class A Ordinary Shares outstanding at such time and (B) $20.00, if such difference is positive.
Value Increase means, the aggregate value of Shares of the applicable Series outstanding at such time on a fully diluted basis (including any shares issuable upon exchange of SPC Preferred Shares, whether or not such SPC Preferred shares are vested (“Exchange Shares”)), minus the product of (A) the number of Class A Ordinary Shares of such Series outstanding at such time on a fully diluted basis (including Exchange Shares) and (B) $20.00, if such difference is positive.

Examples of Value Increase in a sentence

  • Investors who disposed of their interest in Shares prior to such time will not benefit from such Net Asset Value increase.

  • There is outperformance of the Net Asset Value per Share over the hurdle rate if there is a Net Asset Value increase as of the Valuation Day compared to the highest Net Asset Value per Share ever previously achieved (“reference Net Asset Value”) and if this increase exceeds the accrual of the hurdle rate.

  • For example, if the Net Asset Value per Class A (USD) Share as at 1 August 2009 was USD13.00 and the previous high watermark was USD 13.50, a Net Asset Value increase of 3.85% is required before an incentive fee will be payable again in respect of the Class A (USD) Shares.

  • Investors who sold their Units prior to such time will not benefit from such Net Asset Value increase.

  • In the event that a redemption occurs part way through a year the Manager will receive a performance fee equal to 20% of the outperformance of those Unit’s Net Asset Value increase for the period up to the date of redemption, above the movement of the All Ords Accumulated Index for that same period.


More Definitions of Value Increase

Value Increase has the meaning set forth in Section 2.04(f)(i).
Value Increase means, (A) the total number of Class A Shares and Class B shares outstanding at such time, multiplied by (B) the positive remainder, if any, resulting from (i) the Class A Share Value, minus (ii) $20.00.
Value Increase means the appraised value minus the true and fair value listed on the tax roll for the assessment year before the year of revaluation.
Value Increase means, with respect to a Class A Profits Interest Unit that has not been forfeited (if forfeitable) as of the applicable determination date, the increase in the value of the Company, if any, from the time such Class A Profits Interest Unit was deemed issued to the time of a Liquidating Event (as determined by the Liquidating Event Valuation), net of any third party debt for borrowed money.
Value Increase means any increase in the Book Value Per Share occurring between May 23, 2001 and the Closing Date attributable to (A) the Company's receipt of Cash in consideration of the sale of the Company's non-Cash assets or (B) the reduction or elimination of the Liquidation Preference; (ii) the term "BOOK VALUE PER SHARE" shall mean the QUOTIENT of (A) the Company's then total amount of assets LESS the SUM of its then total amount of liabilities AND the Liquidation Preference DIVIDED BY (B) the number of shares of the Company's Common Stock then outstanding; (iii) the term "LIQUIDATION PREFERENCE" shall mean the then aggregate accrued liquidation preference on all outstanding shares of the Company's preferred stock; and (iv) the term "CASH" shall mean cash, cash equivalents and short-term investments.
Value Increase means (i) (X) the amount by which the actual open software license and related maintenance revenue, as determined by the Company, ("Revenue") for the Software Business Unit exceeds Forty Million Dollars ($40,000,000) for the fiscal year in which the right to exchange Your Unvested Wang Options for SWBU Rights is elected; (Y) multiplied by three (3), (ii) less the total purchase price paid for business(es) to be included in the Software Business Unit acquired by the Company after the Hire Date. 5 (E) Payment pursuant to the SWBU Rights shall be made in accordance with the vesting schedule attributable to the SWBU Rights, but in no event earlier than ninety (90) days after the end of the Fiscal Year in which the election takes place.
