Valuation and Fairness Opinion definition

Valuation and Fairness Opinion means the formal valuation of the Limited Voting Shares prepared by the Financial Advisor, as required pursuant to Ontario Securities Commission Rule 61-501 and the Autorité des marchés financiers du Québec Regulation Q-27, and the opinion of the Financial Advisor to the Special Committee as to the fairness, from a financial point of view, of the consideration being offered under the Arrangement to Four Seasons Shareholders, other than the Interested Shareholders; and
Valuation and Fairness Opinion means the formal valuation of the Limited Voting Shares prepared by the Financial Advisor, as required pursuant to Ontario Securities Commission Rule 61-501 and the Autorite des marches financiers du Quebec Regulation Q-27, and the opinion of the Financial Advisor to the Special Committee as to the fairness, from a financial point of view, of the consideration being offered under the Arrangement to Four Seasons Shareholders, other than the Interested Shareholders; and
Valuation and Fairness Opinion means the formal valuation of the Common Shares prepared by RBC for the Special Committee as required pursuant to MI 61-101, and the opinion of RBC to the Special Committee as to the fairness of the consideration under the Arrangement, from a financial point of view, to the Public Shareholders, all as of June 1, 2010, a copy of which is attached as Exhibit E to this Circular.
