U.S. Warrantholder definition
U.S. Warrantholder means any Warrantholder that is a U.S. Person, acquired Warrants in the United States or for the account or benefit of any U.S. Person or Person in the United States;
U.S. Warrantholder means any Registered Warrantholder that is a U.S. Person, acquired Warrants in the United States or for the account or benefit of any U.S. Person or Person in the United States;
U.S. Warrantholder means any (a) Warrantholder that (is (i) present in the United States, (ii) a U.S. Person, (iii) a Person exercising such Warrants for the account or benefit of a U.S. Person or a Person in the United States, (iv) executing or delivering the subscription form in the United States, or (v) requesting delivery in the United States of the Common Shares issuable upon exercise of the Warrants;

Any Warrants issued, sold or transferred to a U.S. Warrantholder must be in individually certificated form or DRS Advice only.
All Warrant Certificates or DRS Advice issued to a U.S. Warrantholder must bear the applicable legend as set forth in Section 2.10(c).
Warrants and any underlying Common Shares issued to, or for the account or benefit of, a U.S. Warrantholder (and any certificates issued in replacement thereof or in substitution therefor) must be issued only in individually certificated form or by DRS Advice, subject to the requirements of Section 3.3(c).
More Definitions of U.S. Warrantholder
U.S. Warrantholder means any purchaser of units of the Corporation in the U.S. Offering or any other Warrantholder that is, or is acting for the account or benefit of, a person in the United States or a U.S. Person that did not acquire the Warrants directly from the Corporation on the date of this Indenture;
U.S. Warrantholder means any Holder that is a U.S. Accredited Investor or Qualified Institutional Buyer and (a) is a U.S. Person, (b) is in the United States, (c) received an offer to acquire Warrants while in the United States, (d) was in the United States at the time such Holder’s buy order was made or such Holder’s executed or delivered its purchase order for the Warrants, or (e) acquired Warrants in the United States or for the account or benefit of any U.S. Person or Person in the United States;
U.S. Warrantholder means any (a) Warrantholder that (i) is a U.S. Person, (ii) is in the United States, (iii) received an offer to acquire Warrants while in the United States, and/or (iv) was in the United States at the time such Warrantholder’s buy order was made or such Warrantholder executed or delivered its purchase order for the Warrants or (b) person who acquired Warrants on behalf of, or for the account or benefit of, any U.S. Person or any person in the United States;

U.S. Warrantholder has the meaning ascribed thereto in the Indenture. In the case of a Warrant Certificate that contains a U.S. restrictive legend, the undersigned hereby represents, warrants and certifies that (one (only) of the following must be checked):
U.S. Warrantholder means any Warrantholder that is a U.S. Person, was offered Warrants (or Units of which the Warrants comprised a part), placed its order to acquire the Warrants (or Units) from within the United States, or otherwise acquired Warrants in the United States or for the account or benefit of any U.S. Person or person in the United States;
U.S. Warrantholder means (i) any U.S. Purchaser and (ii) any Warrantholder that is, or is acting for the account or benefit of, any U.S. Person or person in the United States that did not acquire the Warrants directly from the Corporation;
