Examples of U.S. Person in a sentence
Seller represents and warrants that it is either 1) a U.S. Person as that term is defined in the Export Laws and Regulations, or 2) a Foreign Person as that term is defined in the Export Laws and Regulations and has disclosed to Buyer’s Representative in writing the country in which it is incorporated/authorized/ organized to do business, and all nationalities of any dual or third-country national employees who will require access to the data, articles or services provided hereunder.
None of the Securityholders are U.S. Persons or are otherwise resident in the United States, and the Optionor covenants to provide written notice to the Optionee if it becomes aware of any of the Securityholders becoming U.S. Persons or if any New Securityholder is a U.S. Person.
The Investor is organized in The Bahamas and the Investor is not a U.S. Person within the meaning of the U.S. Securities Act and is subscribing for the Draw Shares pursuant to, and subject to the terms and conditions of, this Agreement in offshore transactions within the meaning of Regulation S under the U.S. Securities Act.
Accordingly, without limitation, no such action shall (i) change such Borrower’s status as an entity disregarded as separate from CHI (or an Affiliate of CHI) as its regarded owner (which is a U.S. Person for U.S. federal income tax purposes) or (ii) subject such Borrower to Tax in any jurisdiction other than the United States or any subdivision thereof.
In the event that the Administrative Agent is a US Person that is not a corporation, the Administrative Agent shall provide the Borrower with two duly completed original copies of IRS Form W-9.
