U.S. Guarantor definition

U.S. Guarantor means a Guarantor whose jurisdiction of organisation is a state of the United States of America or the District of Columbia.

U.S. Guarantor means each Guarantor that is a Domestic Subsidiary.

U.S. Guarantor means a Guarantor incorporated or organized under the laws of the United States, any state thereof or the District of Columbia.

U.S. Guarantor means each US Subsidiary that constitutes a Guarantor.

U.S. Guarantor means each Co-Borrower or Restricted Subsidiary of the Designated Company organized in the United States, any state thereof or the District of Columbia, party hereto as a Guarantor, and each other Co-Borrower or Restricted Subsidiary of the Designated Company incorporated in the United States, any state thereof or the District of Columbia that becomes a Guarantor pursuant to the terms hereof.

U.S. Guarantor means a Guarantor that is a US Person.

U.S. Guarantor means (a) each US Borrower (other than with respect to its own obligations), (b) each Person organized under the laws of a jurisdiction within the United States that guaranties all or a portion of the Obligations, including any Person that is a “Guarantor” under the US Guaranty and Security Agreement, and (c) each other Person organized under the laws of a jurisdiction within the United States that becomes a guarantor after the Closing Date pursuant to Section 5.12 of this Agreement.

U.S. Guarantor has the meaning specified in the definition of “Collateral and Guarantee Requirement.”

U.S. Guarantor means any Subsidiary Guarantor that is incorporated or organized under the laws of the United States of America or any State of the United States of America (including the District of Colombia) or that resides or has a domicile, a place of business or property in the United States of America.

U.S. Guarantor has the meaning set forth in Section 10.06.
