Unvested Options definition

Unvested Options means Award Options that are not Initial Vested Options, that remain subject to immediate termination upon a Termination of Service and that have not yet become Vested Options.

Unvested Options means Options that have not yet become exercisable by a Participant to purchase Shares;

Unvested Options means Time Options that have not become Vested Options pursuant to the terms of this Agreement.

Examples of Unvested Options in a sentence

• Unvested Options shall be cancelled for no consideration upon a termination for any reason.

• From and after the Effective Time, all Company Unvested Options shall no longer be outstanding and shall cease to exist, and each holder of an Unvested Company Options shall cease to have any rights with respect thereto or arising therefrom, except the right to receive the Assumed Consideration payable hereunder.

• Notwithstanding the foregoing, in the event that Participant incurs a Termination of Service due to Participant’s death or Disability following the achievement of GSE Approval, any Unvested Options shall accelerate and vest in full as of the date of Termination of Service.

• Consistent with the terms of the Company Option Plan and the documents governing the outstanding Unvested Options under such plan as in effect on the Agreement Date, the Merger shall not terminate any of the outstanding Company Options held by Continuing Employees under such plan or accelerate the exercisability or vesting of such options or the shares of Acquirer Common Stock that shall be subject to those options upon Acquirer’s assumption of the Unvested Options in the Merger.

• The cancellation and substitution of such Unvested Options shall be effected through the issuance and grant by Parent of the Parent RSUs under the Parent 2014 Stock Incentive Plan.

More Definitions of Unvested Options

Unvested Options means Options that have not become Vested Options pursuant to the terms of this Agreement.

Unvested Options and "Unvested Stock Awards" shall mean all (i) unvested restricted stock awards under the 1988 TriMas Corporation Restricted Stock Incentive Plan (Restated December 5, 1995), (ii) unvested options under the 1988 TriMas Corporation Stock Option Plan (Restated December 5, 1995), and (iii) unvested restricted stock awards, options, or other awards of any form under the TriMas Corporation 1995 Long Term Stock Incentive Plan (Restated December 5, 1995) representing awards, options or grants granted prior to February 28, 1998.

Unvested Options means all Options that are unvested pursuant to their vesting terms as of immediately prior to the Effective Time. “Unvested Options Share Amount” has the meaning set forth in Section 3.1(e)(ii).

Unvested Options means, as of the Closing Date, (i) all outstanding unvested options to purchase shares of the Company Common Stock and (ii) all outstanding vested options to purchase shares of the Company Common Stock with an exercise price equal to or greater than the Per Share Purchase Price.

Unvested Options has the meaning set forth in Section 2.4(b) of the Agreement.

Unvested Options means the Options granted, or agreed to be granted, by the Corporation on and after May 15, 2017 and identified as Unvested Options on Schedule 2.2.

Unvested Options means all Options to the extent unvested as of immediately prior to the Effective Time.
