Unrecovered Costs means any reasonable unamortized hardware, software or other costs and charges that are allocated to such Service (such allocation made in accordance with this Agreement, including Section 1.10), as of the date of Termination or Service Termination, as applicable (including any prepaid hardware and software maintenance fees and unamortized license or leasing payments).

The Exhibiting Suppliers shall be jointly and severally liable for all Unrecovered Costs and shall reimburse Conference Management for such Unrecovered Costs upon demand.
If Developer terminates this Agreement before City recovers all of the Unrecovered Costs, Developer shall reimburse City for the remainder of the Unrecovered Costs.
Any access control system will need to integrate with these systems or replace the controllers and work with the existing door hardware.

More Definitions of Unrecovered Costs
Unrecovered Costs means the costs incurred by the Prime Contractor in the performance of the Contract and detailed in the Base Case Financial Model from time to time, to the extent that the same remain to be recovered through the Fees at the rate at which they fall to be amortised as detailed in the Base Case Financial Model. Such costs will exclude internal costs of financing, working capital or overheads associated with these costs "VAT" means value added tax in accordance with the provisions of the Value Added Tax Xxx 0000 "Working Day" means any day other than a Saturday or Sunday or public holiday in England and Wales Interpretation The interpretation and construction of the Contract shall be subject to the following provisions:- words importing the singular meaning include where the context so admits the plural meaning and vice versa; words importing the masculine include the feminine and the neuter; reference to a clause is a reference to the whole of that clause unless stated otherwise; references to any statute, enactment, order, regulation or other similar instrument shall be construed as a reference to the statute, enactment, order, regulation or instrument as amended by any subsequent enactment, modification, order, regulation or instrument as subsequently amended or re-enacted; references to any person shall include natural persons and partnerships, firms and other incorporated bodies and all other legal persons of whatever kind and however constituted and their successors and permitted assigns or transferees; the words "include", "includes" and "including" are to be construed as if they were immediately followed by the words "without limitation"; headings are included in the Contract for ease of reference only and shall not affect the interpretation or construction of the Contract; and in the event and to the extent only of any conflict between the clauses and the remainder of the appendices, the clauses shall prevail over the remainder of the appendices.
Unrecovered Costs means the Costs incurred by the Supplier in the performance of this Agreement (as summarised in the Financial Model) to the extent that the same remain at the Termination Date to be recovered through Charges that but for the termination of this Agreement would have been payable by the Authority after the Termination Date in accordance with schedule 7.1 (Charges and Invoicing) as such Costs and Charges are forecast in the Financial Model;

Other capitalized terms have the meaning set forth elsewhere in this Agreement. Any capitalized terms used but not defined in this Agreement have the meaning given to them in the Separation Agreement.
