Unpaid Dividends definition

Unpaid Dividends has the meaning as provided in §25.3;

Unpaid Dividends means, as of any date with respect to any one or more shares of Series A-2 Preferred Stock, the amount, as of such date, of any accrued and unpaid dividends or distributions on such one or more shares. For the avoidance of doubt, “Unpaid Dividends” do not include any dividends added to the Stated Value pursuant to Section 4(d).

Unpaid Dividends means all dividends with respect to the Series F Preferred Stock and Series G Preferred Stock which have accrued but which have not been either paid in cash or added to the Stated Value thereof pursuant to Section 1.2.2.

Examples of Unpaid Dividends in a sentence

• Any dividend payment made on the Class A Shares shall first be credited against the earliest Unpaid Dividends due with respect to such Class A Shares which remains payable.

• Except as otherwise provided herein, if at any time the Corporation pays less than the total amount of dividends then accrued and accumulated with respect to the Series A Preferred Shares, such payment shall be made pro rata among the holders thereof based upon the aggregate Series A Unpaid Dividends in respect of the Series A Preferred Shares held by each such holder.

• The Corporation shall be required to redeem on the date so specified in such holder’s written notice delivered to the Corporation all or any portion of their Series A Preferred Shares with respect to which such redemption requests have been made at a price per Series A Preferred Share in cash equal to the Series A Liquidation Value thereof, plus all Series A Unpaid Dividends thereon.

• Upon any such redemption, the Corporation shall pay a price per Series A Preferred Share with respect to which such redemption requests have been made in cash equal to the Series A Liquidation Value thereof, plus all Series A Unpaid Dividends thereon.

• The Class C Shareholders shall not be entitled to receive dividends (i) unless and until the Company has paid any Unpaid Dividends, and (ii) unless and until the Company has paid all of the Exchange Consideration owing to any Tendering Class A Shareholders who have submitted Notices of Exchange before the date the board of directors declares a dividend on the Class C Shares.

More Definitions of Unpaid Dividends

Unpaid Dividends shall have the meaning set forth in Section 2(1).

Unpaid Dividends means with respect to each Share (i) as of any date of determination prior to the 6th anniversary of the Original Date of Issuance, all accumulated dividends and accrued and unpaid but not yet accumulated dividends thereon from and including the date of issuance of such Share to and including such date of determination, and (ii) as of any date of determination on or after the 6th anniversary of the Original Date of Issuance, all accumulated dividends and accrued and unpaid but not yet accumulated dividends thereon that have accumulated and accrued solely from and including the 6th anniversary of the Original Date of Issuance to and including such date of determination.

Unpaid Dividends means, with respect to each Share, as of any date of determination, (i) all accumulated dividends and (ii) accrued and unpaid dividends that have not yet accumulated thereon from and including the Original Date of Issuance of such Share to and including such date of determination.

Unpaid Dividends means, with respect to each Series A Preferred Equity Membership Unit, in any quarterly period, any accrued and unpaid quarterly dividends in respect of any previous quarterly period that were not paid on the related prior Dividend Payment Date.

Unpaid Dividends means, as of any date and with respect to each share of Series A Preferred Stock, all declared and unpaid Participating Dividends, as of such date and with respect to such share of Series A Preferred Stock.

Unpaid Dividends means all declared, payable and unpaid, and all undeclared but payable, cash and non-cash dividends in respect of the Class A Preferred Shares as of a specified date.

Unpaid Dividends means all dividends with respect to the Series B Preferred Stock which have been declared but which have not been paid in cash.
