Unpaid Dividends definition

Unpaid Dividends means, as of any date with respect to any one or more shares of Series A-1 Preferred Stock, the amount, as of such date, of any accrued and unpaid dividends or distributions on such one or more shares. For the avoidance of doubt, “Unpaid Dividends” do not include any dividends added to the Stated Value pursuant to Section 4(d).
Unpaid Dividends has the meaning as provided in §25.3;
Unpaid Dividends means all dividends with respect to the Series F Preferred Stock and Series G Preferred Stock which have accrued but which have not been either paid in cash or added to the Stated Value thereof pursuant to Section 1.2.2.

  • Unpaid Dividends in respect of forfeited Shares will also be forfeited.

  • The Class C Shareholders shall not be entitled to receive dividends (i) unless and until the Company has paid any Unpaid Dividends, and (ii) unless and until the Company has paid all of the Exchange Consideration owing to any Tendering Class A Shareholders who have submitted Notices of Exchange before the date the board of directors declares a dividend on the Class C Shares.

More Definitions of Unpaid Dividends

Unpaid Dividends shall have the meaning set forth in Section 2(1).
Unpaid Dividends means with respect to each Share (i) as of any date of determination prior to the 6th anniversary of the Original Date of Issuance, all accumulated dividends and accrued and unpaid but not yet accumulated dividends thereon from and including the date of issuance of such Share to and including such date of determination, and (ii) as of any date of determination on or after the 6th anniversary of the Original Date of Issuance, all accumulated dividends and accrued and unpaid but not yet accumulated dividends thereon that have accumulated and accrued solely from and including the 6th anniversary of the Original Date of Issuance to and including such date of determination.
