Unpaid Capital Commitment definition

Unpaid Capital Commitment. As to any Partner as of any date, an amount equal to:
Unpaid Capital Commitment means, as to any Guarantor, with respect to any Partner of such Guarantor, such Partner's Capital Commitment less such Partner's Capital Contribution.
Unpaid Capital Commitment means, with respect to any Partner as of any date, an amount equal to (a) the Capital Commitment of such Partner as of such date, minus (b) the aggregate amount of capital contributions made by such Partner to the Partnership on or prior to such date pursuant to Section 5.1(a)(i) or (ii), plus (c) any amounts of Capital Proceeds distributed to the Partner, other than a Partner whose Capital Commitment has been reduced to zero, to the extent that when such amounts were received by the Partnership, it increased the Partnership’s “Unfunded Capital Commitment” (as defined in the Fund Partnership Agreement) and plus or minus, as the case may be, (d) any adjustments to such Partner’s Unpaid Capital Commitment on or prior to such date pursuant to Section 5.1 (to the extent applicable).

Examples of Unpaid Capital Commitment in a sentence

  • Any additional amounts called for pursuant to this Section 3.2(b) shall be made by each such Limited Partner in an amount which bears the same ratio to the aggregate of the additional amounts payable by all such Limited Partners as such Limited Partner’s Unpaid Capital Commitment bears to the Unpaid Capital Commitments of all such Limited Partners; provided that no Limited Partner shall be obligated to contribute an amount in excess of such Limited Partner’s Unpaid Capital Commitment.

  • Additional Amounts so distributed will not be added to a Partner’s Unpaid Capital Commitment.

  • For the avoidance of doubt, any amounts contributed by a Limited Partner in respect of a co- investment opportunity shall not reduce the Unpaid Capital Commitment of such Limited Partner.

  • Has a personal net worth of not less than $2 million, exclusive of the value of the equity in Guarantor’s most valuable residence, which net worth is at least ten times the amount of the Unpaid Capital Commitment.

  • Any amount so contributed by a Partner shall reduce such Partner’s Unpaid Capital Commitment.


More Definitions of Unpaid Capital Commitment

Unpaid Capital Commitment means, with respect to any Member, the amount by which (i) the sum of (1) such Member's Capital Commitment and (2) the amount, if any, by which such Member elects to increase its Capital Commitment pursuant to the terms hereof and (3) distributions to such Member in respect of a return of Capital Contributions, if any, pursuant to the terms hereof, exceeds (ii) the aggregate of all amounts actually contributed to the Company by such Member pursuant to Section 2.1.
Unpaid Capital Commitment means the amount of the Partner’s Capital Commitment which has not been paid to the SBIC. Payment by a Note or other form of indebtedness shall not be considered to have been paid.

Unpaid Capital Commitment means, with respect to any Unitholder at any time, such Unitholder’s Capital Commitment less such Unitholder’s Capital Contributions as of the date of determination plus any amounts returned to a Contributor and added to its Unpaid Capital Commitment pursuant to Clauses 2.6 and 3.1.2 below. Capitalized terms used herein, which are not otherwise defined, shall have the meanings set forth in other Fund Documents (as the context may require).
