Unlegended Shares means any Common Shares or Preferred Equity acquired by the Private Placement Parties and their respective Affiliates (including any Related Purchaser or Ultimate Purchaser in respect thereof) pursuant to this Agreement and the Plan, including all shares issued to the Private Placement Parties and their respective Affiliates in connection with the Private Placement, that do not require, or are no longer subject to, the Legend.
