UNIVERSITY TECHNOLOGY definition

UNIVERSITY TECHNOLOGY means any unpublished research and development information, know-how, and technical data in the possession of UNIVERSITY prior to or following the EFFECTIVE DATE of this LICENSE AGREEMENT which relates to and is necessary for the practice of the INVENTIONS or IMPROVEMENTS and which UNIVERSITY has the right to provide to LICENSEE.
UNIVERSITY TECHNOLOGY means the "Licensed Technology" as defined in the License Agreement; and
UNIVERSITY TECHNOLOGY means any unpublished (a) research and development information, (b) unpatented inventions, and (c) technical data, owned by or in the control of University prior to the Effective Date or during the Term of this Agreement, which relates to and is necessary for: (i) the practice of the Inventions, or (ii) the manufacture, use, sale, offer for sale or importation of any compounds disclosed in the Patents or any analogs, derivatives, modifications or improvements thereof, and which University has the right to provide Licensee under this Agreement, and which Licensee does not otherwise own or control.

UNIVERSITY TECHNOLOGY means any published or unpublished research and development information, know-how, and technical data (but excluding any Patent Rights) which is in the possession of any of the Licensors or their respective employees on or after the Effective Date, or which is developed by any Licensor during the term of this Agreement, (a) for which any Licensor has the right to grant a license hereunder, (b) which is necessary for the practice, use or further development of the Future Compounds, and (c) which resulted, results, was developed, or is developed through the use of (i) Licensee-sponsored research funding under a sponsored research agreement, (ii) Governmental Funding made available to any of the Licensors, or (iii) funds expended by Licensee or obtained through Licensee's efforts or assistance, including, without limitation, all of the funds provided (and to be provided) by the Gates Grant and by any other charitable or non-profit organization which funds a program in which both Licensee and any Licensor are participants.
UNIVERSITY TECHNOLOGY means the Intellectual Property that is owned by the University pursuant to the Ownership Agreement, namely, the “University Technology,” as defined in the Ownership Agreement.
UNIVERSITY TECHNOLOGY means any unpublished research and development information, unpatented inventions, know-how and technical data in the possession of the University prior to the effective date of this Agreement or which comes into the possession of University during the term of this Agreement which relates to and is necessary for the practice of the Invention or the use of the Compounds for therapeutic purposes to the extent that University has the right to provide such information to Licensee. Should Dr. Richard Tidwell's lab produce xxx xxxxxxxxxxx xxxxarch and development information, unpatented inventions, know-how or technical data which is useful for the practice of the Invention or the use of the Compounds for therapeutic purposes, then such shall also be considered University Technology, to the extent that University has the right to provide such information to Licensee.
UNIVERSITY TECHNOLOGY means any unpublished research and development information, unpatented inventions, and technical data in the possession of the University prior to the effective date of

Xxxxx and the University during the term of this Agreement; and (iii) which University has the right to provide to Licensee.
