University Improvements improvements, variations, updates, modifications, and enhancements made solely by the University relating to the Technology after the Commencement Date;

University Improvements means improvement(s) to the Meros Technology that are discovered, created or invented by an inventor who is employed by the University (“University Inventor”) and whose ownership rights have been assigned in whole or in part to the University, and which rights are not encumbered by a third party prior to the creation of such improvement(s). For further clarification, improvements made by one or more University Inventors in conjunction with other persons who are not inventors named in the patents described in Schedule A hereto are not University Improvements.

Examples of University Improvements in a sentence

  • Nothing in this Agreement shall restrict the right of Columbia or UC or of their faculty or students to publish, disseminate or otherwise disclose descriptions of the PLOP Code, University Improvements and Unassigned Improvements for non-profit scholarly purposes only or, in connection therewith, to disclose pertinent illustrative portions of such PLOP Code, University Improvements or Unassigned Improvements.

  • In order to establish a period of exclusivity for the Licensee, the University hereby agrees that it shall not grant any other license to make, have made, use, lease, sell and distribute the Technology, the Patent Rights, the University Improvements or the Licensed Products or to utilize Licensed Processes in the Territory for the Field of Use during the period of time commencing the Effective Date and terminating upon expiration of any patent issued on a country by country basis.

  • Columbia or UC may, in their sole discretion, use reasonable efforts to assist Schrödinger in correcting errors in the PLOP Code, University Improvements or Unassigned Improvements brought to Columbia’s or UC’s attention by Schrödinger; provided, however, that Columbia or UC will not be considered in breach of this Agreement if it either is unable to do so after reasonable efforts or elects not to do so.

  • The parties acknowledge and agree that the University shall retain ownership of the Patent Rights and Materials and shall own all University Improvements made both before and after the Commencement Date.

  • Columbia and UC reserve the right to use the PLOP Code, University Improvements and Unassigned Improvements at Columbia and UC, respectively, for teaching and academic research purposes and to permit other academic or not-for-profit research institutions to use same for teaching and non-profit research purposes.

  • All invention disclosures relating to University Improvements are and shall remain University’s Confidential Information.

  • Columbia and UC disclaim any responsibility for the accuracy or correctness of the PLOP Code, University Improvements or Unassigned Improvements or for their use or application by Schrödinger or by any Affiliate, licensee or sub-licensee of Schrödinger.

  • The Licensee will continue to make royalty payments to the University in the same manner specified in Articles 5 and 6 on all unsold Products containing all or some of the Technology and/or University Improvements that are sold in accordance with this Article 18.7, notwithstanding anything contained in or any exercise of rights by the University under Article 18.6 herein.

Related to University Improvements

  • Licensee Improvements means any improvement, enhancement, modification, derivative work or upgrade to any of Licensor Patent Rights made, conceived, reduced to practice, affixed or otherwise developed by or on behalf of Licensee during the term of this Agreement and solely as exercised under the License.

  • Quality Improvement means a focus on activities to improve performance above minimum standards and reasonably expected levels of performance, quality and practice.

  • Joint Improvements means Improvements the inventors of which are jointly (a) employees of, or others obligated to assign inventions to, ImmunoGen or any Affiliate of ImmunoGen, and (b) employees of, or others obligated to assign inventions to, Lilly or any Affiliate of Lilly.

  • Infrastructure Improvements means a street, road, sidewalk, parking facility, pedestrian mall, alley, bridge, sewer, sewage treatment plant, property designed to reduce, eliminate, or prevent the spread of identified soil or groundwater contamination, drainage system, waterway, waterline, water storage facility, rail line, utility line or pipeline, transit-oriented development, transit-oriented property, or other similar or related structure or improvement, together with necessary easements for the structure or improvement, owned or used by a public agency or functionally connected to similar or supporting property owned or used by a public agency, or designed and dedicated to use by, for the benefit of, or for the protection of the health, welfare, or safety of the public generally, whether or not used by a single business entity, provided that any road, street, or bridge shall be continuously open to public access and that other property shall be located in public easements or rights-of-way and sized to accommodate reasonably foreseeable development of eligible property in adjoining areas. Infrastructure improvements also include 1 or more of the following whether publicly or privately owned or operated or located on public or private property:

  • Improvements shall have the meaning set forth in the granting clause of the Mortgage.

  • Minimum Improvements means devoting the Development Property to its intended Use and construction of approximately a square foot parking facility for use as parking for the Developer as identified and set forth in Exhibit C and constructed in accordance with the Construction Plans submitted to and approved by the Authority. After completion of the Minimum Improvements, the term shall mean the Development Property as improved by the Minimum Improvements.

  • Needs Improvement the Educator’s performance on a standard or overall is below the requirements of a standard or overall, but is not considered to be unsatisfactory at this time. Improvement is necessary and expected.  Unsatisfactory: the Educator’s performance on a standard or overall has not significantly improved following a rating of needs improvement, or the Educator’s performance is consistently below the requirements of a standard or overall and is considered inadequate, or both.

  • Site Improvements means any construction work on, or improvement to, streets, roads, parking facilities, sidewalks, drainage structures and utilities.

  • Private Improvements means the improvements to be constructed on the Property that are not Public Improvements.

  • Improvement means the acquisition, construction, installation, or maintenance of any tangible property with an estimated useful life of five years or more including, but not limited to, the following:

  • Research Use shall have the meaning given in Section 2.2.2 of this Agreement.

  • Project means the goods or Services described in the Signature Document or a Work Order of this Contract.
