Universal Music Group definition

Universal Music Group means (i) Parent, (ii) Customer and (iii) each subsidiary, sister company or Affiliate, directly or indirectly more than [*****]% owned by Parent or Customer (or by any of their respective successors or permitted assigns). For purposes of clarity, (i) no entity whose HDFDs are distributed by a member of the Universal Music Group (but which is not directly or indirectly more than [*****]% owned by Parent or Customer) shall be a member of the Universal Music Group, and (ii) on the date on which an entity is no longer directly or indirectly more than [*****]% owned by Parent or Customer or their respective successors or permitted assigns, it shall cease to be a member of the Universal Music Group.
