  • In particular connection with such succession, each of Unitymedia Hessen and Unitymedia NRW agrees (a) to be bound by all of the covenants, stipulations, promises and agreements set forth in the Indenture and (b) to perform in accordance with its terms all of the obligations which by the terms of the Indenture are required to be performed by UPC Germany.

  • Each of Unitymedia Hessen and Unitymedia NRW hereby agrees to accede to the Indenture, as co-issuers, on the terms and conditions set forth in this Accession Agreement and the Indenture.

  • The Kabel BW Euro Senior Secured Notes tendered for exchange were exchanged for an equal principal amount of 7.5% senior secured notes issued by Unitymedia Hessen and Unitymedia NRW GmbH (each a subsidiary of Unitymedia and together, the “Unitymedia Senior Secured Notes Issuers”) due March 15, 2019 (the “UM Euro Senior Secured Exchange Notes”).

  • Unitymedia Hessen and Unitymedia NRW (the Senior Secured Notes Co-Issuers) are indirect subsidiaries of Unitymedia.

  • In connection with the Debt Pushdown, Unitymedia Hessen and Unitymedia NRW, as co-issuers, will succeed to, and be substituted for, and may exercise every right and power of, the Issuer under this Indenture, and upon such substitution, the predecessor Issuers will be released from its obligations under this Indenture and the Notes.

  • ATC means a measure of the transfer capability remaining in the physical transmission network for further commercial activity over and above already committed uses.

  • Topco has the meaning set out in the Preamble;

  • IR means Indian Railways.

  • Crown means the government of the United Kingdom (including the Northern Ireland Assembly and Executive Committee, the Scottish Executive and the National Assembly for Wales), including, but not limited to, government ministers and government departments and particular bodies, persons, commissions or agencies from time to time carrying out functions on its behalf;

  • Mutual holding company means that term as defined in section 10(o) of the home owners' loan act, chapter 64, titles III and IX of Public Law 101-73, 12 U.S.C. 1467a, and OTS regulations governing mutual holding companies.

  • Holdco has the meaning set forth in the Preamble.

  • DTS means Days to Settlement, i.e., the number of actual days elapsed from and including the original Closing Day with respect to such Accepted Note (in the case of the first such payment with respect to such Accepted Note) or from and including the date of the next preceding payment (in the case of any subsequent delayed delivery fee payment with respect to such Accepted Note) to but excluding the date of such payment; and "PA" means Principal Amount, i.e., the principal amount of the Accepted Note for which such calculation is being made. In no case shall the Delayed Delivery Fee be less than zero. Nothing contained herein shall obligate any Purchaser to purchase any Accepted Note on any day other than the Closing Day for such Accepted Note, as the same may be rescheduled from time to time in compliance with paragraph 2B(7).

  • CSC means the Civil Service Commission of the City and County of San Francisco.

  • Blackwater means wastewater contaminated by human body waste, toilet paper and any other material intended to be deposited in a receptor designed to receive urine or feces.

  • CW means current City of Winnipeg Standard Construction Specification;

  • Acquisition Corp. shall have the meaning given to such term in the preamble to this Agreement.
