Unit Sale definition

Unit Sale means a sale of a Product or an Alternative Product. For purposes of this definition and the definition of "Net Sales," a sale shall include a transaction, such a barter, in which the Product has been transferred for non-cash consideration (in which case, the Product or Alternative Product shall be deemed to have been sold at its list price), or other transaction not involving an invoiced sale, provided that sale shall not include (i) the distribution of samples of the Product or of an Alternative Product, (ii) sales for resale made to distributors that are Affiliates of the Fresenius Parties or (iii) sales of the Product or an Alternative Product solely for research and development uses, including but limited to the Clinical Trials Program or other clinical trials unless, in the case of Products or Alternative Products used for clinical trials mandated by the FDA, reimbursement of the cost of the Products or Alternative Products used in such trials is available from a governmental or nongovernmental source.
Unit Sale means a transaction or series of related transactions in which a Person, or a group of related Persons, acquires from Holders Units representing more than fifty percent (50%) of the outstanding Units.
Unit Sale shall have the meaning set forth in Section 4.1.37(i).

  • If MGL fails to satisfy its obligations under this clause 22 on or before the Unit Sale Completion Date, the Buyer may give MGL a notice requiring it to satisfy those obligations within a period of 10 Business Days from the date of receipt of the notice, and declaring time to be of the essence in all respects.

  • Subject to clause 18.3 and clause 4 of the Trust Deed, the Operating Loss Loans are repayable in full immediately after Unit Sale Completion and are not repayable (whether in whole or in part) before the occurrence (if ever) of Unit Sale Completion.

  • In connection with any Company Unit Sale, each Member covenants and agrees that any agreement that such Member enters into with respect to such Company Unit Sale shall allocate the aggregate purchase price paid to all Members for their Units among each Member based on the amount that each Member would receive if the aggregate economic consideration payable in such Company Unit Sale were distributed pursuant to this Section 5.3 as if a Deemed Liquidation Event.

  • Net Income and Net Loss for each Fiscal Year attributable to allocations from the Fund with respect to Units held by the Partnership, and Net Income and Net Loss generated by the Partnership from the sale or other disposition of Units held by the Partnership and not made at the direction of a Unit Selling Limited Partner pursuant to a Unit Sale Notice for each Fiscal Year shall be apportioned to the Investor Groups in accordance with their respective Investor Group Unit Sharing Ratios.

  • If the Work Request results in a change in the then Unit Sale Price as agreed by both parties, once the change has been implemented, all subsequent invoices issued by KMC will reflect the amended Unit Sale Price.

  • In the event the cost of materials increases as a result of a delay or interruption in KMC’s production activities due to a request of LipoScience or the failure of LipoScience to fulfill its obligations under this Agreement, the then Unit Sale Price shall be increased to reflect such increase in cost of materials.

  • Share Sale means a transaction or series of related transactions in which a Person, or a group of related Persons, acquires any Equity Securities of the Company such that, immediately after such transaction or series of related transactions, such Person or group of related Persons holds Equity Securities of the Company representing more than fifty percent (50%) of the outstanding voting power of the Company.

  • First sale means and include the first sale or distribution of cigarettes in intrastate commerce, or the first use or consumption of cigarettes within this state.

  • Subsequent Sale means the sale of additional Securitization Property by the Seller to the Issuer after the Initial Transfer Date, subject to the satisfaction of the conditions specified in the Sale Agreement and the Indenture.

Notwithstanding anything in this Agreement to the contrary, the holder of an Incentive Distribution Right shall not be entitled to vote such Incentive Distribution Right on any Partnership matter except as may otherwise be required by law.

  • Sale Transaction has the meaning set forth in Section 3(a).

  • Membership Unit means a Membership Common Unit, a Company Preferred Unit, a Company Junior Unit or any other fractional share of the Membership Interests that the Managing Member has authorized pursuant to Section 4.1 or Section 4.2 hereof.

  • Unit Shares means the Common Shares comprising part of the Units;
