Examples of Underwater Options in a sentence

  • You agree and consent to the acceleration of your Underwater Options and the treatment of any incentive stock options exceeding the annual $100,000 threshold as non-qualified stock options.

  • As of February 26, 1999, the weighted average exercise price of the Underwater Options and the Options (other than the Underwater Options) was approximately $31.79 and $16.55, respectively.

  • Xxxxxxxxx is advised by Company to seek independent legal advice with respect to tax issues regarding the Underwater Options.

  • If you wish to exchange a grant of Underwater Options that you have previously elected NOT to exchange, you must submit a new Option Election Agreement to your local representative before the expiration date by following the procedures described in the Offer Documents.

  • Any confirmation of receipt will merely be a notification that we have received your Option Election Agreement and does not mean that your Underwater Options have been cancelled or Replacement Options granted.

  • In other words, the maximum Replacement Options available to be issued shall equal 75% of the total Underwater Options eligible for the Exchange and the remaining Underwater Options tendered will be forfeited.


More Definitions of Underwater Options

Underwater Options means the outstanding Options granted by the Company to current and former employees, consultants, officers and directors of the Company to purchase up to an aggregate of 4,102,504 shares of Common Stock with exercise prices between $0.21 to $0.56, with a weighted-average price of $0.37, and expiring at various dates from September 27, 2011 to September 8, 2018. Underwater Options means any unexercised Options which have vested in accordance with their terms (including as a result of the Merger) for which the exercise price would exceed the Per Option Amount payable in respect of such Option in accordance Section 1.8(c) if such Option were a Vested Option.
Underwater Options means stock options whose exercise price exceeds the fair market value of the optioned stock.

Related to Underwater Options

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Company Stock Options means any option to purchase Company Common Stock pursuant to any Company Stock Plans.

  • Company Options means options to purchase shares of Company Common Stock.

  • Stock Appreciation Rights or “SAR” means a right granted to a Participant under Section 6(c).

  • Stock Appreciation Right or “SAR” means a right to receive the appreciation on Common Stock that is granted pursuant to the terms and conditions of Section 5.

  • SARS means the South African Revenue Service.

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • CONCURRENT STOCK APPRECIATION RIGHT or "CONCURRENT RIGHT" means a right granted pursuant to subsection 8(b)(2) of the Plan.

  • Nonstatutory Stock Option means an Option not intended to qualify as an Incentive Stock Option.

  • INDEPENDENT STOCK APPRECIATION RIGHT or "INDEPENDENT RIGHT" means a right granted pursuant to subsection 8(b)(3) of the Plan.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Stock Index Option means an exchange traded option entitling the holder, upon timely exercise, to receive an amount of cash determined by reference to the difference between the exercise price and the value of the index on the date of exercise.

  • Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Tandem Appreciation Right means an Appreciation Right granted pursuant to Section 5 of this Plan that is granted in tandem with an Option Right.

  • Share Appreciation Right means the right pursuant to an Award granted under Section 8 below to receive an amount equal to the excess, if any, of (i) the aggregate Fair Market Value, as of the date such Award or portion thereof is surrendered, of the Shares covered by such Award or such portion thereof, over (ii) the aggregate Exercise Price of such Award or such portion thereof.

  • Company Option means an option to purchase shares of Company Common Stock granted under the Company Incentive Plan.

  • Number of Options For each Component, as provided in Annex A to this Confirmation.6 Option Entitlement: One Share Per Option Strike Price: USD [_____] Cap Price: USD [_____]; provided that in no event shall the Cap Price be reduced to an amount less than the Strike Price in connection with any adjustment by the Calculation Agent under this Confirmation.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Parent Option means an option to purchase shares of Parent Common Stock.

  • Unissued Option Shares means the number of Shares, at a particular time, which have been reserved for issuance upon the exercise of an Option but which have not been issued, as adjusted from time to time in accordance with the provisions of section 5, such adjustments to be cumulative.

  • Company RSUs means any restricted stock units granted under any of the Company Equity Plans.
