Underlying Property. , in relation to a PHE, means —
Underlying Property has the meaning set forth in the recitals.

Underlying Property means, with respect to each Property Under Contract, the Real Property to be purchased by Optionor under the Underlying Agreement, as set forth on the Property Schedule and described more particularly on Exhibit A hereto.
