Underlying Contracts definition

Underlying Contracts means the various contracts entered into by a Hutchison Group Company as agent for and on behalf of the Hutchison Operating Companies electing to participate in the relevant contracts with parties independent of the chief executive, directors and substantial shareholders of the Company, its subsidiaries and their respective associates for the acquisition and development of information technology platforms and software solutions and applications, hardware, content and other services in connection with 3G Business.

Underlying Contracts means those contracts for the delivery of construction works and services called-off under the Framework Agreement, being either a Construction Contract or a Pre- Construction Agreement;

  • On any given Index Business Day, disruptions can occur that prevent these Underlying Contracts from being traded.

More Definitions of Underlying Contracts

Underlying Contracts has the meaning given to that term in subsection 3.5(f)(iv)(B).
Underlying Contracts mean the reinsurance contracts that are included in the Subject Business.
Underlying Contracts as used in Section 9 of the Lease, shall mean those contracts currently in effect and listed on Exhibit B attached hereto and incorporated herein by this reference, and all replacements and renewals thereof from time to time throughout the term of the Lease.

The Appendix II shall be updated before the Second Installment of the Transfer Consideration to include the contracts executed after the execution date of this Agreement which relate to the Underlying Business and which are acknowledged by the Transferors and the Transferee as within the scope of the Underlying Assets and to reflect the updates of the contracts listed in the Appendix since the execution date of this Agreement. For the avoidance of doubt, in any event, the scope of the Underlying Contracts shall be mutually agreed by the Transferors and the Transferee.
Underlying Contracts refer to the Material Sales Contracts between the Pledgor and the Obligor, including the Current LHD Contracts and the Current MD Contracts, with specifics provided under Attachment 1 (Specifics of the Underlying Contracts) to the Agreement, and New Underlying Contracts.
