Uncontrolled Event definition

Uncontrolled Event has the meaning specified in Section 5 hereof.
Uncontrolled Event has the meaning set forth in Section 5(a).
Uncontrolled Event means (including without limitation) any fire, flood, earthquake, elements of nature or acts of God, riots, civil disorders, rebellions or revolutions in any country or any other cause beyond the reasonable control of MiX Telematics, including the termination or suspension of the services or products provided by a third party supplier, the Network Provider, no or weak GPS signal, Unit failure and logistical difficulties that may result in a delay or a failure to provide any Services; and

Examples of Uncontrolled Event in a sentence

  • For purposes of this section 12(a), “Uncontrolled Event” means with respect to the County, an event or circumstance, regardless of foreseeability, not caused by the County and that prevents the County from complying with an obligations under this agreement, except that an Uncontrolled Event does not include a strike or other labor unrest that affects only the County, an increase in prices, or a change in law.

  • To the extent permitted by law, if either party is prevented from performing its duties under this Agreement due to the occurrence of an Uncontrolled Event, then that party is not liable to the other for any loss or damage suffered.

  • Except as provided in section 15, the obligations of the County under this agreement are not subject to waiver or discharge for any reasons other than an Uncontrolled Event, including missed due dates, clerical errors, computer failures, late mailings or deliveries.

  • UNCONTROLLED EVENTS To the extent permitted by law, if the Asset Trust Responsible Entity is prevented from performing its duties under the Constitution or the Law due to the occurrence of an Uncontrolled Event, then the Asset Trust Responsible Entity is not liable to the Orchard Asset Owners nor is the Asset Trust Responsible Entity liable for any loss or decrease in the value of Asset Trust Property.

  • To the extent permitted by law, if BMG is prevented from performing its duties under the Contract due to the occurrence of an Uncontrolled Event, then BMG is not liable to the Customer for any loss or damage suffered.


More Definitions of Uncontrolled Event

Uncontrolled Event means an act of God, strike, lock out or other interference with work, war declared or undeclared, blockage, disturbance, lightning, fire, drought, earthquake, storm, flood, explosion, government or quasi-government restraint, exploration, prohibition intervention, direction, or embargo, unavailability or delay in availability of equipment or transport, inability or delay in obtaining governmental or quasi-governmental approvals, consents, permits, licences, authorities or allocations, or any other cause whether of the kind specifically set out above or otherwise which is not reasonably within the control of the party relying on the Uncontrolled Event.
Uncontrolled Event means with respect to the County, an event or circumstance, regardless of foreseeability, not caused by the County and that prevents the County from complying with an obligations under this agreement, except that an Uncontrolled Event does not include a strike or other labor unrest that affects only the County, an increase in prices, or a change in law.

  • Insured Event shall have the meaning given such term in Section 12.4.

  • Designated Event with respect to X means that:—

  • Foreign Plan Event means, with respect to any Foreign Plan or Foreign Benefit Arrangement, (i) the failure to make or, if applicable, accrue in accordance with normal accounting practices, any employer or employee contributions required by applicable law or by the terms of such Foreign Plan or Foreign Benefit Arrangement; (ii) the failure to register or loss of good standing (if applicable) with applicable regulatory authorities of any such Foreign Plan or Foreign Benefit Arrangement required to be registered; or (iii) the failure of any Foreign Plan or Foreign Benefit Arrangement to comply with any provisions of applicable law and regulations or with the terms of such Foreign Plan or Foreign Benefit Arrangement.

  • Widely attended event means an event at which at least 25 persons have been invited to attend or there is a reasonable expectation that at least 25 persons will attend the event and the event is open to individuals (i) who are members of a public, civic, charitable or professional organization, (ii) who are from a particular industry or profession or (iii) who represent persons interested in a particular issue.

  • Covered Event means any event or occurrence related to the fact that Indemnitee is or was a director, officer, employee, agent or fiduciary of the Company, or any subsidiary of the Company, or is or was serving at the request of the Company as a director, officer, employee, agent or fiduciary of another corporation, partnership, joint venture, trust or other enterprise, or by reason of any action or inaction on the part of Indemnitee while serving in such capacity.

  • Terminating Event means any of the following events:

  • Listed Event means any of the events listed in Section 5(a) of this Disclosure Certificate.

  • Relevant Event means any Termination Event, Mandatory Prepayment Event or Further Novation Event, or any event which only with the passage of time, the giving of any notice or the fulfilment of any other condition (or a combination thereof) would constitute a Termination Event, Mandatory Prepayment Event or Further Novation Event;

  • controlled drug means an article or substance prescribed under a regulation to be a controlled drug.

  • Sporting event means any of the following athletic activities that is organized, operated, managed, or sponsored by the School:

  • Unmatured Event of Default means any event which, with the giving of notice, the passage of time or both, would constitute an Event of Default.

  • Book-Up Event means an event that triggers a positive adjustment to the Capital Accounts of the Partners pursuant to Section 5.5(d).

  • Rating Event means the rating on the Notes is lowered by each of the Rating Agencies and the Notes are rated below an Investment Grade Rating by each of the Rating Agencies on any day within the 60-day period (which 60-day period will be extended so long as the rating of the Notes is under publicly announced consideration for a possible downgrade by any of the Rating Agencies) after the earlier of (a) the occurrence of a Change of Control and (b) public notice of the occurrence of a Change of Control or the Company’s intention to effect a Change of Control; provided that a Rating Event will not be deemed to have occurred in respect of a particular Change of Control (and thus will not be deemed a Rating Event for purposes of the definition of Change of Control Triggering Event) if each Rating Agency making the reduction in rating does not publicly announce or confirm or inform the Trustee in writing at the request of the Company that the reduction was the result, in whole or in part, of any event or circumstance comprised of or arising as a result of, or in respect of, the Change of Control (whether or not the applicable Change of Control has occurred at the time of the Rating Event).

  • Potential Adjustment Event means any of the following:

  • Disabling Event means the General Partner ceasing to be the general partner of the Partnership pursuant to Section 17-402 of the Act.

  • Put Event means the occurrence of any of the following:

  • ERISA Termination Event means (i) a “Reportable Event” described in Section 4043 of ERISA and the regulations issued thereunder (other than a “Reportable Event” not subject to the provision for 30-day notice to the PBGC under such regulations), or (ii) the withdrawal of a Borrower or any of its ERISA Affiliates from a “single employer” Plan during a plan year in which it was a “substantial employer”, both of such terms as defined in Section 4001(a) of ERISA, or (iii) the filing of a notice of intent to terminate a Plan or the treatment of a Plan amendment as a termination under Section 4041 of ERISA, or (iv) the institution of proceedings to terminate a Plan by the PBGC or (v) any other event or condition which might constitute grounds under Section 4042 of ERISA for the termination of, or the appointment of a trustee to administer, any Plan or (vi) the partial or complete withdrawal of a Borrower or any ERISA Affiliate of such Borrower from a “multiemployer plan” as defined in Section 4001(a) of ERISA.

  • Load Management Event means a) a single temporally contiguous dispatch of Demand Resources in a Compliance Aggregation Area during an Operating Day, or b) multiple dispatches of Demand Resources in a Compliance Aggregation Area during an Operating Day that are temporally contiguous.

  • designated sporting event generally means any association football match, whether national or international. The full legal definition of the different classes of designated sporting events may be found in the Sports Grounds and Sporting Events (Designation) (Amendment) Order 2011, under Article 2(1) and 2(2) of Schedule 2.
