Examples of Unconditional Date in a sentence
The first Business Day by which all Closing Conditions have been fulfilled (or waived in accordance with clause 8.3) is the "Unconditional Date".
Pubco shall, promptly following the Unconditional Date and in accordance with the UK Act (including, without limitation, sections 979 and 980), serve squeeze out notices on all holders of Company Ordinary Shares that have not, at the date of such notice, assented their Company Ordinary Shares to the Pubco Offer and Pubco shall, at the same time, send a copy of such notice to the Company together with the required statutory declaration pursuant to section 980(4)(b) of the UK Act.
Notwithstanding the previous sentence, if the Binding Advice relates to an Offer Condition, the Binding Advice shall be rendered no later than noon CET on the Business Day before the Unconditional Date.
The REC Facility Agreement shall be entered into between the Finance Parties and REC upon the Unconditional Date and, upon such date, the Commitment of each Bank in respect of the Revolving Credit Facility shall reduce by an amount equal to the commitment assumed by such Bank under the REC Facility Agreement.
This Agreement shall become unconditional on the Unconditional Date.
