Uncertificated Shares definition

Uncertificated Shares shall have the meaning set forth in Section 2.4(c).

Uncertificated Shares means uncertificated shares that immediately prior to the Effective Time represented shares of Company Common Stock.

Uncertificated Shares means shares not represented by instruments and the transfers of which are registered upon books maintained for that purpose by or on behalf of the issuing corporation.

• The Payment Agent shall accept such Certificates and transferred Uncertificated Shares upon compliance with such reasonable terms and conditions as the Payment Agent may impose to effect an orderly exchange thereof in accordance with normal exchange practices.

• No dividends or other distributions with respect to capital stock of the Surviving Corporation with a record date on or after the Effective Time will be paid to the holder of any unsurrendered Certificates or Uncertificated Shares.

• If, after the Effective Time, Certificates or Uncertificated Shares are presented to the Surviving Corporation for any reason, they will (subject to compliance with the exchange procedures of Section 2.9(c)) be cancelled and exchanged as provided in this Article II.

More Definitions of Uncertificated Shares

Uncertificated Shares or "participating security" means a share which is recorded in the Register as being in uncertificated form and title to which may be transferred by means of a relevant system and references to a share being held in uncertificated form shall be construed accordingly

Uncertificated Shares has the meaning set forth in Section 3.3(b)(i).
