Unauthorised Persons definition

Unauthorised Persons means third parties and also anyone connected with Chemintro or Disclosee who does not need to know the other's Confidential Information in order to carry out their work for Chemintro or Disclosee.
Unauthorised Persons means officers, employees or advisers of the Recipient who are not required to have access to the Confidential Information for the Purpose, and any other person who is not a party to this agreement. References to clauses and parties are references to clauses of, and parties to, this agreement; references to things include parts of those things; references to persons include legal and natural persons; and words importing the singular include the plural and vice versa.
Unauthorised Persons means any and all persons who are not party to this Agreement not having official permission and or legal rights to collect, hold, process, use and/or access the Personal Data. Terms and Conditions Unless specified by Phaidon in an attached Addendum or Appendix, these terms set out herein shall govern all work undertaken on behalf of the Client. The appointment of Phaidon by the Client to carry out services including the Introduction of a Candidate to the Client will be deemed to be acceptance of and agreement of these Terms by the Client. No amendments shall be made to these terms without the prior written agreement of an authorised representative of either party. For the avoidance of doubt amendments agreed and made through e-mails will not be considered part of the Agreement.

  • Misappropriation means that the Employee (i) uses Confidential Information (as defined below) for the benefit of anyone other than the Employers or an Affiliate, as the case may be, or discloses the Confidential Information to anyone not authorized by the Employers or an Affiliate, as the case may be, to receive such information; (ii) upon termination of employment, makes any summaries of, takes any notes with respect to or memorizes any Confidential Information or takes any Confidential Information or reproductions thereof from the facilities of the Employers or an Affiliate or (iii) upon termination of employment or upon the request of the Employers or an Affiliate, fails to return all Confidential Information then in the Employee’s possession. For the avoidance of doubt, “Misappropriation” does not include disclosure of Confidential Information to a governmental regulatory agency, such as the U.S. Securities and Exchange Commission, provided that the Employee informs the agency that the Employers and/or Affiliates deem the information to be confidential. “Confidential Information” shall mean any confidential and proprietary drawings, reports, sales and training manuals, customer lists, computer programs and other material embodying trade secrets or confidential technical, business, or financial information of the Employers or an Affiliate.

  • Associated Persons means the directors, employees (whether full-time, part-time or casual), Related Bodies Corporate, agents, contractors, advisors and owners of Tabcorp and the Venue Operator, respectively, (as is applicable).
