Unaffiliated Firm definition

Unaffiliated Firm shall have the meaning set forth in Section 4.6(d).

• The Unaffiliated Firm's authority will be limited to resolving disputes with respect to whether the Closing Statement of Net Assets was prepared in accordance with the terms of this Section 4(b) with respect to the individual items on the Closing Statement of Net Assets in dispute (it being understood that the Unaffiliated Firm will have no authority to make adjustments to any amounts other than amounts set forth on the Closing Statement of Net Assets that are in dispute).

• In resolving any disputed item, the Unaffiliated Firm may not assign a value to such item greater than the greatest value for such item asserted by either Party or less than the smallest value for such item asserted by either Party.

• The determination of the Unaffiliated Firm in respect of the correctness of each matter remaining in dispute in accordance with this Section 3.04(a) shall be conclusive and binding on the Members and judgment may be entered thereon as an arbitration award pursuant to 9 U.S.C. § 9 in any court of competent jurisdiction.

• The decision of the Unaffiliated Firm will be, for all purposes, conclusive, non-appealable, final and binding upon both Seller and Buyer.

Unaffiliated Firm means a firm of independent public accountants that is nationally recognized in the United States, is mutually satisfactory to Buyer and Seller and that shall have no conflict of interest with respect to either party. If Buyer and Seller are unable to mutually agree upon such a firm, then each shall select one firm and a representative of the firms so selected shall select a third firm which shall be the Unaffiliated Firm.

Unaffiliated Firm means such internationally recognized firm of accountants as Buyers Representative and the Sellers’ Representative may agree upon in writing.

Unaffiliated Firm shall be a "Big Six" accounting firm (other than the Sellers' Accountants, the Purchaser's Accountants, or any other such firm which, at the time of or within the three years prior to its selection, shall have been regularly employed by or had any other material business relationship with the Sellers, the Purchaser, or any of their Affiliates) selected by lot. If no "Big Six" firm can or will accept such engagement, the parties agree that the Unaffiliated Firm shall be selected by agreement between the Sellers' Accountants and the Purchaser's Accountants.

Unaffiliated Firm means the accounting firm selected in accordance with Section 1.8.
