Unaffected Claims definition

Unaffected Claims means, collectively:
Unaffected Claims means the Liabilities of JMB or 216 to Persons other than an Affected Creditor; and
Unaffected Claims means all claims that are not Noteholder Claimant Claims, including any:

  • Claims listed under Section 19(2) of the CCAA (“Section 19(2) Claims”) shall be Affected Claims for the purposes of this Plan; provided, however, that Section 19(2) Claims shall be deemed Unaffected Claims to the extent held by any Creditors who have not voted in favour of the Plan.

  • The Plan does not affect Unaffected Creditors with respect to and to the extent of their Unaffected Claims.

  • For greater certainty, nothing in the Plan restricts or shall be deemed to restrict, payments on account of any Unaffected Claims that are secured by any of the CCAA Charges.

  • Unaffected Claims shall not be compromised, released, discharged, cancelled or barred by the Plan.

  • Nothing in the Plan shall affect any of the Participating CCAA Parties’ rights and defenses, both legal and equitable, with respect to any Unaffected Claims, including, but not limited to, all rights with respect to legal and equitable defences or entitlements to set- offs or recoupment against any and all such Unaffected Claims.

Unaffected Claims means (i) claims of Secured Creditors, to the extent of the value of the subject security; (ii) claims of the DIP Lenders, to the extent any such claim is based on borrowings under the DIP Facility; (iii) Directors’ Indemnity Claims; and, (iv) the Administrative Fees and Expenses;

Unaffected Claims means (i) any Claims of any employee, officer or director of the Company in respect of any wages, vacation pay, bonuses or other remuneration payable to such Person by the Company; (ii) any Claims in respect of which a Charge is granted pursuant to the Initial Order; (iii) any Claim required to be paid in priority to Noteholder Claims, including in accordance with section 6(3), (5) or (6) of the CCAA; and (iv) any Claim, other than a Noteholder Claim, which is secured by a lien or encumbrance on the property of the Company, which lien is valid, perfected and enforceable pursuant to applicable law, to the extent of and limited to the value of such property.
