UCC Members definition

UCC Members means (a) Barry L. Leonard & Co. Inc., (b) Superior Cam Inc., (c) SA Automotive Ltd, and any other members of the UCC that may serve from time to time.

Examples of UCC Members in a sentence

  • Any payment that UCC Members may be entitled to receive with respect to their last Taxable Year pursuant to Section 7(c) hereof shall be paid to such UCC Member in the manner provided in Section 9(a) hereof on or before December 31 of the calendar year following the end of the applicable Taxable Year.

  • This Agreement shall determine the liability of Dow and the UCC Members as to the matters provided for herein, whether or not such determination is effective for purposes of the Code or of state or local revenue laws, for financial reporting purposes or any other purpose.

  • DHRI agrees to give written notice to UCC, and UCC agrees to give written notice (for itself and on behalf of the other UCC Members) when experiencing a force majeure event as soon as practicable.

  • All products purchased by a UCC Member from DHRI under this Agreement shall meet the then-current DHRI product specification or such specifications as DHRI reasonably determines (e.g., in connection with any of the services or consultation provided by DHRI under this Agreement) will meet such UCC Member's product quality requirements.

  • If, as a result of such redetermination, any amounts due to or from UCC under this Agreement differ from the amounts previously paid, then except as herein provided, payments of such difference together with any interest, penalty or addition to tax properly allocated to UCC shall be made as an adjustment to the UCC Member's Tax Liability for the current Taxable Year.

  • TDCC agrees to give written notice to UCC, and UCC agrees to give written notice (for itself and on behalf of the other UCC Members) when experiencing a force majeure event as soon as practicable.

  • New Members As Defined By the Public Employees’ Pension Reform Act of 2013 (PEPRA)

  • Class B Members means any Persons to whom Class B Membership Units are issued, and any assignee or transferee of such Persons permitted under the terms of this Agreement, and any other Person admitted to the Company in the future as a Class B Member pursuant to the terms hereof. The names of the Class B Members, and the Percentage Interests allocated to each such Class B Member, shall be reflected in the books and records of the Company.

  • Class A Members means those Members who have purchased Class A Interests.
