Type of securities. A unit consisting of five (5) shares of Common Stock and three (3) Warrants. Each Warrant will have an exercise price of $1.25 and will entitle the Warrant holder to receive one (1) share of Common Stock. The Warrants if not exercised sooner will expire on December 31, 2005. The Warrants are redeemable by the Company at $.10 per share if the underlying Common Stock trades at or above $3.75 for any 20 trading days in a 30 consecutive trading day period.
