Turbine Equipment definition

Turbine Equipment means all parts, components, material, equipment, consumables and other items required for complete, fully-functional WTGs (including switchgear, if the WTG model contemplates switchgear in the Tower, and any other equipment selected by Buyer), the SCADA System and all other materials and equipment required to be supplied or incorporated into the Project by Supplier pursuant to this ESA, as more specifically described in the Specifications.
Turbine Equipment has the meaning given in the Turbine Supply Agreement.
Turbine Equipment means the Wind Turbines, Towers in the quantities described in Exhibit , and all other materials and equipment incorporated into the Project by Supplier pursuant to this Agreement. The term “Turbine Equipment” specifically does not include (a) components comprising the Balance of Plant Work, (b) any authorizations otherwise necessary or appropriate for the erection, ownership or operation of the Project or (c) any rights or authorizations necessary for the production, delivery or sale of electrical power produced by the Wind Turbines, including any Real Property Rights and rights under any power purchase agreements.

Examples of Turbine Equipment in a sentence

  • Notwithstanding anything herein to the contrary, Supplier shall not be responsible for unloading, storing, assembling, erecting, or installing any Turbine Equipment, materials or parts at the Project Site, and Supplier’s performance obligations shall be excused to the extent that the Buyer does not fulfill its obligations to pay the Contract Price or any portion thereof.

  • The Parties acknowledge and agree that because of the unique nature of the Turbine Equipment and the unavailability of substitute equipment, it is difficult or impossible to determine with precision the amount of damages that would or might be incurred by Buyer as a result of Supplier’s failure to deliver the Turbine Equipment by the Guaranteed Delivery Date.

  • This Section states the entire liability and obligation of Supplier or any affiliate with respect to infringement or claims of infringement or any patent, copyright, trade secret or other intellectual property right by the Turbine Equipment or Licensed Materials.

  • If any damage to the public roads occurs during transportation of the Turbine Equipment, Buyer shall pay directly, or promptly reimburse Supplier for, any and all fines and/or repair costs associated with such damage except to the extent that such damage is caused by the negligence or willful misconduct of Supplier or Supplier’s Subcontractors.

  • From and after the date the Turbine Equipment is delivered to the Delivery Point, Buyer shall take all reasonable steps to protect the Turbine Equipment, and all related equipment, material and parts.

  • Each payment set forth in the Payment Schedule that is based on Turbine Equipment, or any Component thereof, being shipped shall be paid as a pro rata portion based on the number of Components shipped (or in the case of Towers, the number of Tower sections shipped), and shall be due upon presentation of a copy of a xxxx of lading (or other applicable transport documentation evidencing shipment) respecting such Turbine Equipment, together with a commercial invoice for such payment.

  • Buyer wishes to obtain and Supplier wishes to supply the Turbine Equipment, as described herein, and to perform certain commissioning work, as described herein, for the Project, on the terms and subject to the conditions of this Agreement.

  • Buyer shall provide sufficient information and training so that the operator of the Project is qualified and capable of properly operating the Turbine Equipment in compliance with the Operating Manual and Supplier’s standard procedures and technical bulletins.

  • Notwithstanding the foregoing, Buyer shall not be responsible for payment of any such demurrage or stand-by charges if Supplier delivers Turbine Equipment prior to its Anticipated Delivery Date pursuant to Section unless Buyer has provided its prior written approval for such delivery.

  • Buyer may assign its rights under this Agreement, including any rights in the Licensed Materials, to a Financing Party or to any other person succeeding to the ownership of the Turbine Equipment in accordance with Section .


More Definitions of Turbine Equipment

Turbine Equipment means the Wind Turbines, Towers and SCADA System, and shall not include the foundations, electrical infrastructure, substation, FAA Lighting and other components comprising the Balance of Plant Work.
Turbine Equipment means all of the parts, components, equipment, materials, apparatus, structures, tools, supplies, consumables, goods, and other items required or appropriate for a complete, fully-functional Wind Turbine or that otherwise form or are intended to form part of the Work or the Project, including all equipment, materials, apparatus, structures, tools, supplies, Delivery Devices, Special Tools, and other goods provided and used by Turbine Supplier for performance of the Work, but that are not incorporated into the Project.
Turbine Equipment specifically does not include (a) components comprising the Balance of Plant Work, (b) any authorizations otherwise necessary or appropriate for the erection, ownership or operation of the Project or (c) any rights or authorizations necessary for the production, delivery or sale of electrical power produced by the Wind Turbines, including any Real Property Rights and rights under any power purchase agreements.
Turbine Equipment means the Wind Turbines, Towers and SCADA System and all other materials and equipment supplied or incorporated into a Project by Supplier pursuant to the applicable Supply Agreement or this Agreement, as applicable.
Turbine Equipment has the meaning given in Section 1.1.1 of this Agreement.

Related to Turbine Equipment

  • Service Equipment means any equipment, Software, systems, cabling and facilities provided by or on behalf of Verizon and used to facilitate provision of the Services at a Customer Site. Ownership of the Service Equipment does not pass to Customer. Service Equipment does not include Verizon Facilities.

  • Electrical equipment means underground equipment that contains dielectric fluid that is necessary for the operation of equipment such as transformers and buried electrical cable.

  • New equipment means equipment for which, by the cut-off date, neither of the following events has occurred:

  • Project Equipment means the items of machinery, equipment or other personal property used in connection with the construction and development of the Project pursuant to the provisions hereof, and all replacements thereof and substitutions therefor made pursuant to this Agreement.

  • Fixed Equipment means any property affixed in any way to the Licensed Premises existing at the time Notice to Proceed is given, whose removal would damage the Licensed Premises.

  • Capital Equipment means machinery and equipment purchased or leased, and used in this state by the purchaser or lessee primarily for manufacturing, fabricating, mining, or refining tangible personal property to be sold ultimately at retail if the machinery and equipment are essential to the integrated production process of manufacturing, fabricating, mining, or refining. Capital equipment also includes machinery and equipment used primarily to electronically transmit results retrieved by a customer of an online computerized data retrieval system.

  • Standard equipment means the basic configuration of a vehicle which is equipped with all the features that are required under the regulatory acts of the Contracting Party including all features that are fitted without giving rise to any further specifications on configuration or equipment level.

  • Metering Equipment means all metering equipment installed at the metering points designated in the appropriate appendix to an Interconnection Service Agreement. Minimum State of Charge:

  • Port Cargo Handling Equipment means rubber-tired gantry cranes, straddle carriers, shuttle carriers, and terminal tractors, including yard hostlers and yard tractors that operate within ports.

  • Farm equipment means equipment used directly for farming

  • Operating Equipment means furniture, furnishings, special lighting fixtures, carpeting, draperies, decorations or other special finishing work, signs, appliances and trade fixtures and equipment that is furnished, installed or used by the Contractor in its operations on the Airport. It does not include Fixed Improvements, or repair or maintenance of Operating Equipment or Fixed Improvements or displays or decorations that are of a seasonal or temporary promotional nature.

  • Leased Equipment means the equipment which may include but not limited to modem provided by TM on lease basis to enable usage of the Service by the Customer, as may be decided by TM from time to time at its sole discretion.

  • Rental Equipment means the equipment identified on the Service Agreement and Order Schedule or otherwise notified to you in writing that we will rent to you as part of our provision of the Services and which you will return to us after expiry or termination of the Agreement, subject to the provisions of this Agreement.

  • Equipment Room means a space intended for the operation of pool pumps, filters, heaters and controllers.

  • Supplier Equipment means the Supplier's hardware, computer and telecoms devices, equipment, plant, materials and such other items supplied and used by the Supplier (but not hired, leased or loaned from the Customer) in the performance of its obligations under this Call Off Contract;

  • Interconnection equipment means a group of components or an integrated system owned and operated by the interconnection customer that connects an electric generator with a local electric power system, as that term is defined in Section 3.1.6.2 of IEEE Standard 1547, or with the electric distribution system. Interconnection equipment is all interface equipment including switchgear, protective devices, inverters or other interface devices. Interconnection equipment may be installed as part of an integrated equipment package that includes a generator or other electric source.

  • Load Control Equipment means the equipment (which may include, but is not limited to, ripple receivers and relays) that is from time to time installed in, over or on Consumer’s Premises for the purpose of receiving signals sent by Load Signalling Equipment and switching on and off, or otherwise controlling, controllable load;

  • Designated Equipment means either: (i) a server identified by serial number, or host I.D. on which the Licensed Materials are stored; or (ii) a computer or workstation, as identified by its serial number, host I.D. number or Ethernet address; to which the Licensed Materials are downloaded and Used only upon the issuance of a License Key. The Designated Equipment shall be of a manufacture, make and model, and have the configuration, capacity (i.e., memory/disk), operating software version level, and pre- requisite and co-requisite applications, prescribed in the Documentation as necessary or desirable for the operation of the Software.

  • Movable equipment means a hand-held or non-hand-held machine or device, powered or unpowered, that is used to do work and is moved within or between work sites.

  • School equipment means a durable school-owned machine, equipment, or tool used by a student as part of an activity, course, or program in a secondary school and includes a saw or 3D printer. “School equipment” includes a saw or 3D printer.

  • Additional Equipment means equipment that is not factory fitted in the Vehicle, including but not limited to navigation equipment (GPS), baby seat, bicycle rack etcetera;

  • Fuel burning equipment means any furnace, boiler, apparatus, stack and all associated equipment, used in the process of burning fuel.

  • Terminal Equipment means all telephone instruments, including pay telephone equipment, the common equipment of large and small key and PBX systems and other devices and apparatus, and associated wirings, which are intended to be connected electrically, acoustically or inductively to the telecommunication system of the telephone utility.

  • Data Processing Equipment means any equipment, computer hardware, or computer software (and the lease or licensing agreements related thereto) other than Personal Computers, owned or leased by the Failed Bank at Bank Closing, which is, was, or could have been used by the Failed Bank in connection with data processing activities.

  • Customer Equipment means hardware, software, systems, cabling and facilities provided by you and used in conjunction with the Equipment that we supply to you in order to receive the Services;

  • Associated equipment means equipment that is used in conjunction with a radiographic exposure device to make radiographic exposures that drives, guides, or comes in contact with the source, e.g., guide tube, control tube, control (drive) cable, removable source stop, “J” tube and collimator when it is used as an exposure head.
