The Preferred Securities will be guaranteed by the Company with respect to distributions and payments upon liquidation, redemption and otherwise (the "Preferred Securities Guarantee") pursuant to and subject to the limitations set forth therein, the Preferred Securities Guarantee Agreement (the "Preferred Securities Guarantee Agreement"), dated as of February __, 1996, between the Company and The Chase Manhattan Bank, N.A., a national banking association, as trustee (the "Guarantee Trustee"), and entitled to the benefits of certain undertakings pursuant to the Indenture (as defined herein) to pay all expenses relating to administration of the Trust (the "Undertakings").
