Triggering Amount definition

Triggering Amount means the greater of (i) $1,300 million and (ii) 17.5% of Consolidated Total Assets, measured at the date of incurrence and outstanding at any one time (provided that any fees and expenses (including any premium and defeasance costs) incurred in connection with the replacement, refinancing, restructuring, extension or renewal of Indebtedness shall not be deemed to constitute Indebtedness for purposes of calculating the aggregate amount of Indebtedness that may be incurred upon such replacement, refinancing, restructuring, extension or renewal). In addition, an increase in the amount of Indebtedness in connection with any accrual of interest, accretion of accreted value, amortization of original issue discount, payment of interest in the form of additional Indebtedness with the same terms, and accretion of original issue discount and increases in the amount of Indebtedness outstanding solely as a result of fluctuations in the exchange rate of currencies or increases in the value of property securing Indebtedness, shall not constitute Indebtedness for purposes of calculating the Triggering Amount.

Triggering Amount means, for any Capital Demand Notice, the product of (i) 15% of the aggregate number of shares of Common Stock traded on each Trading Day of the fifteen (15) Trading Day period ending on the Trading Day immediately prior to the first Trading Day of the Selling Period, as reported by Bloomberg Financial LP using the AQR function, multiplied by (ii) the volume weighted average of the VWAP on each Trading Day during such fifteen (15) Trading Day period.
