Trigger Value definition

Trigger Value means USD7.5 billion plus the aggregate amount of principal (including capitalised interest) which has been repaid to the Group’s international lenders prior to commencement of the sale process as a result of any new equity raisings (including proceeds of the Global Offering), operation of the cashflow sweep mechanism and disposal of any non-core assets (including any shares in Norilsk Nickel). The question whether or not the sale obligation has been triggered at any time during any suspension period will be determined by reference to the Trigger Value as at the end of the suspension period.
Trigger Value means, as of any date of determination with respect to the issuance of Newly Issued Securities, the amount determined by dividing $33,000,000 by the number of Fully Diluted Outstanding Shares (prior to giving effect to the issuance of such Newly Issued Securities).

More Definitions of Trigger Value

Trigger Value means the change in spend that will trigger an adjustment to the OCM Charge for a Complexity Level, as set forth in the Pricing Tables. The Trigger Values for changes to the OCM Charge are expressed in dollars of OCM Spend.
Trigger Value means, with respect to any date, the fair market value of the Company determined by the Appraiser based solely upon a Put Trigger Event the closing of which has occurred within six (6) months immediately preceding the date or exercise of the Put Option, or that will occur pursuant to an agreement or letter of intent in effect as of the date or exercise of the Put Option, and assuming: (i) the full exercise or conversion of all of the then outstanding Convertible Securities in accordance with their respective terms; (ii) the payment in full of the Note out of the proceeds of such Put Trigger Event; (iii) no adjustment or discount with respect to minority interest, voting rights or rights to control management of the Company, and (iv) no adjustment for the tax consequences of such Put Trigger Event.
Trigger Value. Means the value that prompts an action. The Water Quality Guidelines provide water quality values that if exceeded trigger an action to ensure protection of environmental uses and values.

  • SPS AER Value means the Underlying Reference Value.

  • FR Value means, in respect of a ST FR Valuation Date, Worst Value.

  • S&P Value means, on any date and with respect to any Eligible Collateral other than Cash, the product of (A) the bid price obtained by the Valuation Agent for such Eligible Collateral and (B) the S&P Valuation Percentage for such Eligible Collateral set forth in paragraph 13(b)(ii).

  • RI Value means, in respect of a Reference Item and a ST Valuation Date, (i) the RI Closing Value for such Reference Item in respect of such ST Valuation Date, divided by (ii) the relevant RI Initial Value (expressed as a percentage).

  • Cash Value means the greater of (i) the amount that the policyholder is entitled to receive upon surrender or termination of the contract (determined without reduction for any surrender charge or policy loan), and (ii) the amount the policyholder can borrow under or with regard to the contract. Notwithstanding the foregoing, the term “Cash Value” does not include an amount payable under an Insurance Contract as:

  • Opening Average Share Value means the average, over the trading days in the Opening Average Period, of the closing price of a company’s stock multiplied by the Accumulated Shares for each trading day during the Opening Average Period.

  • rand value means the total estimated value of a contract in Rand, calculated at the time of bid invitation, and includes all applicable taxes;

  • Fully Diluted Weighted Average Basis means, when calculating the number of Outstanding Units for any period, a basis that includes (a) the weighted average number of Outstanding Units during such period plus (b) all Partnership Interests and Derivative Partnership Interests (i) that are convertible into or exercisable or exchangeable for Units or for which Units are issuable, in each case that are senior to or pari passu with the Subordinated Units, (ii) whose conversion, exercise or exchange price, if any, is less than the Current Market Price on the date of such calculation, (iii) that may be converted into or exercised or exchanged for such Units prior to or during the Quarter immediately following the end of the period for which the calculation is being made without the satisfaction of any contingency beyond the control of the holder other than the payment of consideration and the compliance with administrative mechanics applicable to such conversion, exercise or exchange and (iv) that were not converted into or exercised or exchanged for such Units during the period for which the calculation is being made; provided, however, that for purposes of determining the number of Outstanding Units on a Fully Diluted Weighted Average Basis when calculating whether the Subordination Period has ended or Subordinated Units are entitled to convert into Common Units pursuant to Section 5.7, such Partnership Interests and Derivative Partnership Interests shall be deemed to have been Outstanding Units only for the four Quarters that comprise the last four Quarters of the measurement period; provided, further, that if consideration will be paid to any Group Member in connection with such conversion, exercise or exchange, the number of Units to be included in such calculation shall be that number equal to the difference between (x) the number of Units issuable upon such conversion, exercise or exchange and (y) the number of Units that such consideration would purchase at the Current Market Price.

  • Per Share Value means the average value of the consideration to be received in respect of each outstanding Common Share pursuant to the Qualifying Transaction as determined by mutual agreement of the Independent Directors (as defined in Section 2(b)(i) below) and the holders of a majority in interest of all outstanding warrants to purchase Common Shares containing this provision, or, if they shall fail to agree, by an Investment Bank.

  • Return Amount has the meaning specified in Paragraph 3(b).

  • Intrinsic Value means reinstatement value of insured property or item less due allowance for betterment, wear and tear and/or depreciation

  • Trigger Event Date means a date on which a Trigger Event has occurred as determined by the Calculation Agent.

  • Minimum Cash Amount shall have the meaning set forth in Section 6.2(iv).

  • Class C Par Value Test means the test which will be satisfied as of any Measurement Date if, on such Measurement Date, the Class C Par Value Ratio is at least equal to the percentage specified in the definition of "Coverage Test".

  • Earnings Per Share means as to any Fiscal Year, the Company’s or a business unit’s Net Income, divided by a weighted average number of common shares outstanding and dilutive common equivalent shares deemed outstanding, determined in accordance with generally accepted accounting principles.

  • Merger Valuation Period for any Merger Event means the five consecutive Trading Day period immediately preceding, but excluding, the effective date for such Merger Event.
