Trigger Rating definition

Trigger Rating with respect to any Person, shall mean that the senior unsecured non-credit enhanced long term obligations of such Person shall have a rating (or if the senior unsecured obligations of such Person shall not be rated, such Person shall have a confidential debt rating) of at least BBB- by Standard & Poor’s, and at least Baa3 by Moody’s.
Trigger Rating means the long-term unsecured debt rating of Guarantor (or American Express if there is no Guarantor) below BBB as issued by S&P or below Baa2 as issued by Xxxxx’x.

Examples of Trigger Rating in a sentence

  • Lessee further acknowledges that it has no rating from any NSRO, and that unless and until it has a Required Rating equal to or greater than the Trigger Rating from at least two (2) NSROs, all of such rights referenced hereinabove shall not be available to Lessee and all of such obligations referenced hereinabove shall be imposed upon Lessee.

  • Lessee acknowledges that certain rights and obligations of Lessee under the Lease, as modified by this Amendment, are contingent upon whether Lessee has a Required Rating equal to or greater than the Trigger Rating.

  • Upon entering into any new Sublease (other than Subleases with Affiliates) during any period in which Guarantor (or Lessee if there is no Guarantor) has fallen below the Required Rating of the Trigger Rating, Lessee shall promptly forward to Lessor the names of all subtenants and the terms of their respective Subleases (other than Subleases to Affiliates).

  • Lessee hereby agrees that in the event the Guarantor's (or Lessee's, if there is no Guarantor) long term unsecured debt rating at any time falls below the Required Rating of the Trigger Rating, Lessee shall thereafter deliver to Lessor, at least once annually, a third party engineering report from an engineering company reasonably acceptable to the Lessor, containing, in form and substance reasonably acceptable to Lessor, the engineer's report on the condition of the Property.

  • Notwithstanding the foregoing, in the event that Guarantor (or Lessee if there is no Guarantor) fails to satisfy the Trigger Rating, then Lessee shall only be permitted to leave Liens in place during contest (and not discharge or bond such Liens) to the extent that such Liens, together with any Liens under the AMP Lease, in the aggregate, amount to less than One Million Dollars ($1,000,000.00).

  • Notwithstanding the foregoing, in the event that Guarantor (or Lessee if there is no Guarantor) fails to satisfy the · Trigger Rating, then Lessee shall only be permitted to leave Liens in place during contest (and not discharge or bond such Liens) to the extent that such Liens, in the aggregate, amount to less than One Million Dollars ($1,000,000.00).

  • So long as either a Mxxxx’x Second Trigger Rating Event or an S&P Required Ratings Downgrade Event has occurred and is continuing, then Party A shall, at its own expense, use commercially reasonable efforts to, as soon as reasonably practicable, either (A) effect a Permitted Transfer or (B) procure an Eligible Guarantee from an Eligible Guarantor.

  • So long as a Moody's Second Trigger Rating Event has occurred and is continuing, then Party A shall, as soon as reasonably practicable and so long as a Moody's Second Trigger Rating Event is in effect, at its own expense, use commercially reasonable efforts to attempt to procure either (A) a Permitted Transfer or (B) an Eligible Guarantee from an Eligible Guarantor.

  • So long as a Moody's Second Trigger Rating Event or an S&P Required Ratings Downgrade Event has occurred and is continuing, then Party A shall, as soon as reasonably practicable and so long as a Moody's Second Trigger Rating Event or an S&P Required Ratings Downgrade Event is in effect, at its own expense, use commercially reasonable efforts to attempt to procure either (A) a Permitted Transfer or (B) an Eligible Guarantee from an Eligible Guarantor.

  • Prior to a Lease Event of Default or the Required Rating of Guarantor (or Lessee, if there is no Guarantor) falling below the Trigger Rating, Lessor, for itself only, agrees not to inspect the Property more than once annually, unless (i) it has reasonable cause to believe a further inspection is warranted or (ii) it needs to do so in connection with a proposed sale of the Property (or interest of Lessor or entities owning (directly or indirectly) Lessor) or refinancing of the Property.

  • Moody’s Rating means, at any time, the rating issued by Moody's and xxxx xx effect with respect to the Borrower's senior unsexxxxx xong-term debt securities without third-party credit enhancement.

  • Moody’s Second Trigger Ratings Threshold means, with respect to Party A, the guarantor under an Eligible Guarantee or an Eligible Replacement, (i) if such entity has a short-term unsecured and unsubordinated debt rating from Moody’s, a long-term unsecured and unsubordinated debt rating or counterparty rating from Moody’s of “A3” and a short-term unsecured and unsubordinated debt rating from Moody’s of “Prime-2”, or (ii) if such entity does not have a short-term unsecured and unsubordinated debt rating from Moody’s, a long-term unsecured and unsubordinated debt rating or counterparty rating from Moody’s of “A3”.

  • Moody’s First Trigger Ratings Threshold means, with respect to Party A, the guarantor under an Eligible Guarantee or an Eligible Replacement, (i) if such entity has a short-term unsecured and unsubordinated debt rating from Moody’s, a long-term unsecured and unsubordinated debt rating or counterparty rating from Moody’s of “A2” and a short-term unsecured and unsubordinated debt rating from Moody’s of “Prime-1”, or (ii) if such entity does not have a short-term unsecured and unsubordinated debt rating or counterparty rating from Moody’s, a long-term unsecured and unsubordinated debt rating or counterparty rating from Moody’s of “A1”.

  • Index Debt Rating means the S&P Rating, the Xxxxx’x Rating and the Fitch Rating.

  • Xxxxx’x Rating means, at any time, the rating issued by Xxxxx’x and then in effect with respect to the Borrower’s senior unsecured long-term debt securities without third-party credit enhancement.

  • Risk Rating means, with respect to any Loan at any time, if such Loan is at such time (i) rated by both S&P and Moody’s, the lower of such ratings, (ii) rated by either S&P or Moody’s, such rating or (iii) not rated by either S&P or Moody’s, the rating determined by the Servicer’s risk rating model.

  • Debt Rating has the meaning specified in the definition of “Applicable Rate.”

  • Required Rating means, in the case of Moody's, the rating assigned to the Underlying Securities by Moody's as of the Closing Date, and, in the case of S&P, the rating assigned to the Underlying Securities by S&P as of the Closing Date.

  • Threshold Rating means the short-term unsecured debt rating of P-1 by Moody’s and the short-term issuer credit rating of A-1 by Standard & Poor’s.

  • Highest Rating Category means, with respect to a Permitted Investment, that the Permitted Investment is rated by S&P or Moody’s in the highest rating category given by that rating agency for that general category of security. By way of example, the Highest Rating Category for tax exempt municipal debt established by S&P is “A 1+” for debt with a term of one year or less and “AAA” for a term greater than one year, with corresponding ratings by Moody’s of “MIG 1” (for fixed rate) or “VMIG 1” (for variable rate) for three months or less and “Aaa” for greater than three months. If at any time (i) both S&P and Moody’s rate a Permitted Investment and (ii) one of those ratings is below the Highest Rating Category, then such Permitted Investment will, nevertheless, be deemed to be rated in the Highest Rating Category if the lower rating is no more than one rating category below the highest rating category of that rating agency. For example, a Permitted Investment rated “AAA” by S&P and “Aa3” by Moody’s is rated in the Highest Rating Category. If, however, the lower rating is more than one full rating category below the Highest Rating Category of that Rating Agency, then the Permitted Investment will be deemed to be rated below the Highest Rating Category. For example, a Permitted Investment rated “AAA” by S&P and “A1” by Moody’s is not rated in the Highest Rating Category.

  • Moody’s means Xxxxx’x Investors Service, Inc. and any successor thereto.

  • Other Rating Agency means each NRSRO, if any, other than Fitch then providing a rating for the MRP Shares pursuant to the request of the Company.

  • Investment Grade Credit Rating means (a) with respect to Fitch, a credit rating of BBB- or higher, (b) with respect to Xxxxx’x, a credit rating of Baa3 or higher and (c) with respect to S&P, a credit rating of BBB- or higher.

  • Initial Rating With respect to the Secured Notes, the rating or ratings, if any, indicated in Section 2.3.

  • Investment Grade Rating means a rating equal to or higher than Baa3 (or the equivalent) by Xxxxx’x and BBB- (or the equivalent) by S&P, or an equivalent rating by any other Rating Agency.

  • Investment Grade Rating Event means the first day on which the Notes have an Investment Grade Rating from a Rating Agency and no Default has occurred and is then continuing under this Indenture.

  • Required Ratings Threshold means each of the S&P Required Ratings Threshold and the Moody’s Second Trigger Ratings Threshold.

  • Ratings Spread means, with respect to an SRP Calculation Period, the percentage per annum set forth below opposite the highest applicable credit rating assigned to the VRDP Shares, unless the lowest applicable rating is below A3/A-, in which case the Ratings Spread shall mean the percentage per annum set forth below opposite the lowest applicable credit rating assigned to the VRDP Shares by Moody’s, Fitch or any Other Rating Agency, in each case rating the VRDP Shares at the request of the Fund, on the SRP Calculation Date for such SRP Calculation Period:
