Transferring Holder has the meaning set forth in Section 3.01(a).

• The non-transferring Unit Holders may elect to participate in the contemplated Transfer by delivering written notice to the Transferring Holder within ten (10) days after delivery of the Sale Notice.

• The Transferring Holder failing to deliver share certificates in accordance with this Agreement shall reimburse the Company for any legal or other expenses reasonably incurred by the Company in connection with the enforcement of obligations under this Agreement or utilizing the remedies set forth in this Section 8.6.

• The Transferring Holder shall not consummate any such Transfer until 30 days after the Sale Notice has been given to the Company and to the Other Members entitled to receive such Sale Notice, or, if earlier, the date upon which the parties to the Transfer have been finally determined pursuant to this Section 4 (such 30th day or earlier date being the “Authorization Date”).

Transferring Holder shall have the meaning set forth in Section 7.4(a).

Additional definitions used in this Article 13 are set forth below.
