Examples of Transferred Patents in a sentence
Purchaser shall confirm in writing to the U.S. Department of Justice, Antitrust Division, to the extent (i) requested by such Government Entity and (ii) required by applicable Law, the existence and scope of Purchaser’s commitments under this Section 2.1(l) with respect to such Transferred Patents.
Within 30 calendar days of the Closing Date, Seller shall deliver a letter of instruction, in form and substance reasonably acceptable to Purchaser, to each legal counsel of Seller or any Affiliate of Seller that has in its possession Patent prosecution files that related to any Transferred Patents, instructing such counsel to release such files upon Purchaser’s request (and at Purchaser’s sole expense).
Purchaser acknowledges that the Transferred Patents are assigned and transferred subject to the SSO Commitments.
Houston shall promptly forward to Seattle all patent office correspondence received by the Houston Group and all patent attorney and agent correspondence received by the Houston Group related to the Transferred Patents for three hundred and sixty-five (365) days after the Distribution Date.
With respect to Transferred Patents, those Transferred Patents that are Registered Patents are currently in compliance with formal legal requirements (including payment of filing, examination and maintenance fees and proofs of use), and are not subject to any unpaid maintenance fees or taxes falling due within 90 days after the Closing Date.
