Transferred Equipment definition

Transferred Equipment shall have the meaning set forth in Section 2.2(a)(ix).

Transferred Equipment means all equipment, including Equipment Assets, and other tangible personal property primarily related to, or primarily used, held for use or acquired or developed for use in connection with, the Business.

Transferred Equipment means all equipment, machinery, tools and other tangible personal property set forth on Schedule 2.1 hereto.

Examples of Transferred Equipment in a sentence

• The ownership of the Transferred Equipment shall be transferred to the Host Party free of charge.

• In case the Transferred Equipment is used by other parties than the Tie-in Party, such cost and expense shall be shared between the users.

• Any assignment of County’s interests in the Transferred Equipment is made “AS IS, WHERE IS,” WITHOUT WARRANTIES OF ANY KIND (EXCEPT AS EXPRESSLY STATED IN SUCH SERVICE AGREEMENT), AND SPECIFICALLY WITHOUT ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

• After RFO the Host Party shall, at the Tie-in Party’s cost and expense, perform all operation and maintenance functions related to the Transferred Equipment.

• The Host Party shall be solely responsible for the removal and abandonment of the Transferred Equipment and its associated cost.

More Definitions of Transferred Equipment

Transferred Equipment means the equipment listed on Schedule 1.01(f).

Transferred Equipment means fixtures, machinery, telecommunications, manufacturing and other equipment and other interests in tangible personal property owned by Seller or a Seller Subsidiary and that is used or held for use exclusively in the conduct of the Business (including the items listed on Section 1.01(xiii) of the Seller Disclosure Schedule), excluding in all cases any Intellectual Property Rights covering, embodied in or connected to any of the foregoing.

Transferred Equipment means any Equipment of the Company or any other member of the Company Group that is primarily used or held for use in the Nevada Business.
