Except for such claims that would not have a Business Material Adverse Effect, there are no pending or threat- ened claims of which any Transferred Company or any Seller has been given written notice by any person against Telecom's, IBS's or a Transferred Company's use of any material Intellectual Property Rights that are either owned by a Transferred Com- pany, Telecom or IBS or primarily used in the Business.
To Seller’s knowledge, all such Tax Returns were correct and complete in all material respects and properly reflect any Tax Liabilities of each Transferred Company or Gathering Company.
