Examples of Transferee Employees in a sentence

  • Transferor shall provide or cause to provide Transferee (or its Representatives) with reasonable opportunities to meet with Transferee Employees prior to the Closing Date at times mutually agreed upon by the Parties to discuss the transfer of operations and employment contemplated hereunder, and Transferee shall be entitled to distribute employment and employee plan applications and materials at such meetings.

  • Transferee Employees who are eligible to participate as of the Closing Date in group health insurance coverage sponsored by Transferor, shall be eligible for participation in a group health plan (as defined for purposes of Section 4980B of the Code) sponsored, established or otherwise maintained by Transferee (or in conjunction with its Affiliate) for the general benefit of employees and their dependents (the “Group Health Plan”).

  • Except for the Assumed PTO, Transferor shall retain the liability for the claims respecting all Transferee Employees that are incurred prior to the Effective Time, unless the claim resulted from actions or omissions of Transferee or its Representatives, in which case Transferee shall indemnify and hold Transferor harmless from and against any and all liabilities arising out of such actions or omissions.

  • Employees who accept Transferee’s (or its Affiliate’s) offers of employment and commence employment with Transferee are referred to herein as “Transferee Employees.” The employment of Transferee Employees shall be effective as of the Effective Time.

  • Transferee’s or its Affiliate’s accepted offer of employment to Transferee Employees pursuant to Section 10.1 above shall commence at the Effective Time, such that those Transferee Employees shall not experience a period of unemployment in connection with the transactions contemplated herein.

  • Immediately following the Closing, Transferee shall provide Transferee Employees, as well as eligible dependents of such Persons, the opportunity to participate in the applicable Employee Benefit Plans, programs or policies maintained or established by Transferee (or in conjunction with its Affiliates) that are comparable to the plans and benefits Transferee provides to other employees or other staff of Transferee holding similar positions.

  • All Transferee Employees hired by Transferee who accept and commence employment with Transferee following the Effective Time shall be employed by Transferee on an “at will” basis.

  • Transferee shall treat prior service with Transferor as service with Transferee for purposes of determining eligibility of each of Transferee Employees to receive and participate in all Employee Benefit Plans maintained by Transferee or its Affiliates.

  • Subject to Section 2.5(m), Transferor shall retain the liability for the claims respecting all employees of Transferor (including the Transferee Employees) that are incurred under any Plan prior to the Effective Time.

  • To the extent that Transferor’s applicable Affiliate provides such consent, then the requirements regarding employment and hiring of Affiliated-Service Transferee Employees by Transferee and its Affiliates will be the same for Transferee and its Affiliates as those for Transferee Employees under this Section 2.5.

Related to Transferee Employees

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Designated Employees means a person occupying any of the following position in the Company:

  • Prospective employee means an assessed individual who is anticipated to be hired upon completion of training.

  • Transferring Employee means an employee at the airport who timely transfers to the regional authority by the transfer date.

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Former Employees means a former member of management of Icahn Enterprises (or any of its Subsidiaries (including any Guarantors)), other than the Principal, who voluntarily or upon any other termination is no longer employed by any of Icahn Enterprises or any of its Subsidiaries (including any Guarantors) and who holds Equity Interests that are required to be redeemed or purchased pursuant to any contractual requirements upon such termination of employment.

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.

  • Transferring Former Supplier Employees in relation to a Former Supplier, those employees of the Former Supplier to whom the Employment Regulations will apply on the Relevant Transfer Date; and

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Key Employees means each of the following individuals: Xxx Xxxxxxx, Xxxxx Xxxxxxxx, Xxxxx Xxxxxx and Xxxxx Xxxxxxx.

  • Public employee means an individual holding a position by appointment or employment in the government of this state, in the government of 1 or more of the political subdivisions of this state, in the public school service, in a public or special district, in the service of an authority, commission, or board, or in any other branch of the public service, subject to the following exceptions:

  • Former Employee means an individual who has severed employment with the Employer or an Affiliated Employer.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Participating employee means an employee whose election to participate in a Plan has been approved by the employer.

  • Transferee Company means any company or body corporate established in the Islands or in any other jurisdiction.

  • Excluded Employees shall have the meaning set forth in Section 5.1.2.

  • Bona fide employee means a person, employed by a bidder and subject to the bidder's supervision and control as to time, place, and manner of performance, who neither exerts, nor proposes to exert improper influence to solicit or obtain contracts nor holds out as being able to obtain any contract(s) through improper influence.

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Male employee means an employed male who is caring for a child borne of his spouse or a child placed with the employee for adoption purposes.
