Tranche 2 Option definition

Tranche 2 Option means the portion of the Stock Option to purchase the number of shares of Stock set forth in Schedule A, that is subject to performance-based vesting in accordance with the terms of this Agreement, including Schedule A, and the Plan.
Tranche 2 Option. The option granted by the Vendor to the Placing Agent, exercisable from the date of the Placing Agreement up to 5:00 p.m. on 16 November 2001, pursuant to which the Placing Agent may require the Vendor to sell, at a maximum, an additional 97,000,000 existing Shares at the Placing Price in one or more transactions by way of placement with placees “Tranche 1 Placing” : The placing of the Tranche 1 Placing Shares, on a best endeavours basis, under the Placing Agreement “Tranche 1 Placing Shares” : A maximum of 223,000,000 Shares to be placed under the Placing Agreement “Tranche 2 Placing” : Upon exercise of the Tranche 2 Option, the placing of the Tranche 2 Placing Shares, on a best endeavours basis, under the Placing Agreement
Tranche 2 Option means any Company Option with an exercise price per Share that is (a) equal to or greater than the amount of the Cash Consideration and (b) less than the sum of (i) the amount of the Cash Consideration and (ii) the amount of the DB-OTO Milestone Payment.

  • The number of Tranche 1 Option Shares will be reduced to the extent of any such sale- 5,963,355 fully paid ordinary shares (the Tranche 2 Option Shares), which will comprise 10% of the issued capital of BurgerFuel as at the Completion Date, may be purchased if Franchise Brands issues an Exercise Notice during the period commencing 20 business days before the 4th anniversary of the Completion Date and ending on the Tranche 2 End Date (the Tranche 2 Period).

Related to Tranche 2 Option

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Approved 102 Option means an Option granted pursuant to Section 102(b) of the Ordinance and held in trust by a Trustee for the benefit of the Optionee.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Unapproved 102 Option means an Option granted pursuant to Section 102(c) of the Ordinance and not held in trust by a Trustee.

  • Director Option means an Option granted pursuant to Section 6.

  • 102 Option means any Option granted to Employees pursuant to Section 102 of the Ordinance.

  • Equity Award means stock options, stock appreciation rights, restricted stock, restricted stock units, performance shares or any other form of award that is measured with reference to the Stock.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Performance Option means an Incentive Stock Option or Nonqualified Stock Option, the grant of which or the exercisability of all or a portion of which is contingent upon the attainment of specified Performance Measures within a specified Performance Period.

  • Call Option Date As defined in Section 10.01(a) hereof.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).

  • Accelerated Purchase Share Percentage means, with respect to an Accelerated Purchase made pursuant to Section 2(b) hereof, thirty percent (30%).

  • Call Option Repayment Date means the settlement date for the Call Option determined by the Issuer pursuant to Clause 10.2 (Voluntary early redemption – Call Option), Clause 10.3(d) or a date agreed upon between the Bond Trustee and the Issuer in connection with such redemption of Bonds.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Option Grant Date means, as to any Stock Option, the latest of:

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Stock Purchase Right means a right to purchase Common Stock pursuant to Section 11 below.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Employee Option means an Option granted pursuant to Section 5.

  • Approved Share Plan means any employee benefit plan which has been approved by the board of directors of the Company prior to or subsequent to the date hereof pursuant to which Ordinary Shares and standard options to purchase Ordinary Shares may be issued to any employee, officer or director for services provided to the Company in their capacity as such.
