Trading Vehicle definition

Trading Vehicle means any investment vehicle, affiliated with Xxxxxx Xxxxxxx, the purpose of which is to facilitate trading Partnership assets with one or more trading advisors.
Trading Vehicle s and Managing Owner's Closing Obligations. On or prior to the Initial Closing Date, and thereafter on or prior to each Subsequent Closing Date, if the Trading Vehicle and the Managing Owner have requested that the Advisor provide certificates and documents pursuant to Section 4 of this Agreement, the Trading Vehicle and the Managing Owner shall deliver or cause to be delivered to the Advisor, the certificates and documents described below addressed to the Advisor and, except as may be set forth below, dated each such Closing Date:

  • Thereafter, the General Partner shall vote the Partnership’s interest in the Trading Vehicle so as to reflect the vote undertaken by the Limited Partners of the Partnership (excluding any entity that directly or indirectly controls, is controlled by or is under common control with the General Partner and their respective employees), as measured by their respective percentage ownership in the Partnership.

  • As a commodity pool, the Trust and each Series are subject to the regulations of the Commodity Futures Trading Commission, an agency of the United States (U.S.) government which regulates most aspects of the commodity futures industry; rules of the National Futures Association, an industry self-regulatory organization; and the requirements of the various commodity exchanges where the Trust through the Trading Vehicle executes transactions.

  • The Trading Vehicle was formed to function as an aggregate trading vehicle.

  • Future redemptions and exchanges will impact the amount of funds available for investment in the Trading Vehicle in subsequent periods.

  • The Trading Vehicle will have the responsibility for the management of any portion of the Trading Vehicle Allocated Assets that are not invested in Commodities.

  • Nothing herein shall be construed to prevent the Managing Owner from imposing any limitation(s) on the trading activities of the Trading Vehicle beyond those enumerated in the Prospectus if the Managing Owner determines that such limitation(s) are necessary or in the best interests of the Trust or the Trading Vehicle, in which case the Advisor will adhere to such limitations following written notification thereof.

  • The parties acknowledge that the Advisor has not been, either alone or in conjunction with the Selling Agent or its affiliates, an organizer or promoter of the Trading Vehicle, and it is not intended by the parties that the Advisor shall have any liability as such.

  • The Trading Vehicle shall not, however, have authority to instruct the Advisor as to which specific open positions to liquidate, except as provided in Section 1 hereof.

  • Investment Vehicle means a corporation, partnership, limited partnership, limited liability company, association, or other entity, either domestic or foreign, managed by an external manager in which a board is the majority investor and that is organized in order to invest with, or retain the investment management services of, other external managers.

  • Junk vehicle means a vehicle of any age that is damaged or defective in any one or combination of any of the following ways that either makes the vehicle immediately inoperable, or would prohibit the vehicle from being operated in a reasonably safe manner upon the public streets and highways under its own power if self-propelled, or while being towed or pushed, if not self-propelled:

  • Laden vehicle means, except where otherwise stated, a vehicle so laden as to attain its "maximum mass".

  • Unladen vehicle means a vehicle without a driver, or passenger, and unladen, but with its fuel tank full and its normal complement of tools;

  • Transit vehicle means a bus, rapid transit vehicle, railroad car, street railway car, water vehicle, taxicab, or other type of public transportation vehicle or individual unit, whether operated singly or in a group that provides public transportation.

  • Trading Account means the unique personified register of all completed transactions, open positions, orders and nontrading operations on the trading platform.

  • Investment Vehicles means any investment company or pooled investment fund, including, but not limited to, mutual fund families, exchange-traded funds, fund of funds and hedge funds, in which a Defendant has or may have a direct or indirect interest, or as to which its affiliates may act as an investment advisor, but of which a Defendant or its respective affiliates is not a majority owner or does not hold a majority beneficial interest.

  • Custom vehicle means a motor vehicle other than a motorcycle that:

  • Exotic Vehicle means antique cars that are over 20 years old or have not been manufactured for 10 or more years or any vehicle with an original manufacturer’s suggested retail price greater than $50,000.

  • Alternative Investment Vehicle means an entity created in accordance with the Operative Documents of a Borrower to make investments and that has the right to call on Capital Commitments directly from Investors.

  • Public Vehicle means a Person whose securities are listed and traded on a national securities exchange and shall include a majority owned subsidiary of any such Person or any operating partnership through which such Person conducts all or substantially all of its business.

  • Medium-duty vehicle or “MDV” means any pre-1995 model year heavy-duty vehicle having a manufacturer's gross vehicle weight rating of 8,500 pounds or less; any 1992 through 2006 model-year heavy-duty low-emission, ultra-low-emission, super-ultra-low-emission or zero-emission vehicle certified to the standards in Section E.1.1.1, or in title 13, CCR, section 1962, having a manufacturer's gross vehicle weight rating of 14,000 pounds or less; any 1995 through 2002 model year heavy-duty vehicle certified to the Tier 1 standards in Section E.1.1.1 having a manufacturer's gross vehicle weight rating of 14,000 pounds or less; and any 2000 and subsequent model heavy-duty low-emission, ultra-low-emission, super-ultra-low-emission or zero-emission vehicle certified to the standards in Section E.1.1.2, or in title 13, CCR, section 1962, having a manufacturer's gross vehicle weight rating between 8,501 and 14,000 pounds.

  • Subject Vehicle means the vehicle being tested.

  • Fleet Vehicle means a motor vehicle owned or leased by a person engaged in a commercial activity, utility service, or government service; or a motor vehicle offered for sale, rent, or lease at a business which is licensed to sell, rent, or lease motor vehicles.
