Total Settlement Fund definition

Total Settlement Fund means a fund of a total of nine million four hundred thousand dollars ($9,400,000) to be paid by the DIRECTV Defendants in accordance with the terms of this Agreement. That amount shall reflect the total monetary liability to Plaintiffs or Settlement Class Members for all Defendants in this Litigation; under no circumstances shall any Defendant be required to pay any additional amount under the Settlement to Plaintiffs, Settlement Class Members, counsel for Plaintiffs, or the Administrator.
Total Settlement Fund means the sum of all the State Subclass Total Settlement Funds.
Total Settlement Fund means the Settlement Amount plus all interest and accretions thereto earned after being deposited to the Escrow Account controlled by the Escrow Agent.

More Definitions of Total Settlement Fund

Total Settlement Fund means the fund consisting of the maximum amount of Four Million Five Hundred Thousand Dollars and zero cents ($4,500,000.00) to be paid by Defendant in full satisfaction of all Released Class Claims, Released FLSA Claims, and claims encompassed by the General Release by Class Representatives, which includes all Individual Settlement Payments to Participating Class Members and Participating FLSA Members (inclusive of the employee’s share of taxes and withholdings with respect to the Wage Portion, as set forth in Section III, Paragraph 9, infra), the Incentive Awards, Settlement Administration Costs, the LWDA Payment, the Attorneys' Fees and Costs, and Employer Taxes. In no event will Defendant be liable for more than the amount of the Total Settlement Fund. The entire Total Settlement Fund will be fully paid out and no portion of it will revert or be retained by Defendant.
Total Settlement Fund means the maximum amount that will be paid under the terms of this Agreement: $366,000.00.
Total Settlement Fund means, collectively, the Class Settlement Fund, as defined in Paragraph 11(a) of this Stipulation, and the Derivative Settlement Fund, as defined in Paragraph 11(b) of this Stipulation.

Related to Total Settlement Fund

  • Gross Settlement Fund means the Settlement Amount plus all interest earned thereon.

  • Qualified Settlement Fund or “Settlement Fund” means the interest-bearing, settlement fund account to be established and maintained by the Escrow Agent in accordance with Article 5 herein and referred to as the Qualified Settlement Fund (within the meaning of Treas. Reg. § 1.468B-1).

  • Individual Settlement Payment means the amount payable from the Net

  • Net Settlement Fund means the Settlement Fund less: (i) Court-awarded attorneys’ fees and expenses; (ii) Notice and Administration Expenses; (iii) Taxes; and (iv) any other fees or expenses approved by the Court.

  • Physical Settlement Amount For any Settlement Date for which Physical Settlement is applicable, an amount in cash equal to the product of (a) the Forward Price in effect on the relevant Settlement Date multiplied by (b) the Settlement Shares for such Settlement Date.

  • Settlement Fund means the Settlement Amount plus any and all interest earned thereon.

  • Purchase Contract Settlement Fund has the meaning specified in Section 5.5.

  • Gross Settlement Amount means $633,000.00 which is the total amount Defendant agrees to pay under the Settlement except as provided in Paragraph 9 below. The Gross Settlement Amount will be used to pay Individual Class Payments, Individual PAGA Payments, the LWDA PAGA Payment, Class Counsel Fees, Class Counsel Expenses, Class Representative Service Payment and the Administrator’s Expenses.

  • Cash Settlement Amount means the “Cash Settlement Amount” as determined by the Calculation Agent in accordance with Paragraph 6.

  • Structured settlement annuity means an annuity purchased in order to fund periodic payments for a plaintiff or other claimant in payment for or with respect to personal injury suffered by the plaintiff or other claimant.

  • Net Settlement Amount means the Gross Settlement Amount, less the following payments in the amounts approved by the Court: Individual PAGA Payments, the LWDA PAGA Payment, Class Representative Service Payment, Class Counsel Fees Payment, Class Counsel Litigation Expenses Payment, and the Administration Expenses Payment. The remainder is to be paid to Participating Class Members as Individual Class Payments.

  • Cash Settlement shall have the meaning specified in Section 14.02(a).

  • Structured settlement payment rights means rights to receive periodic payments under a structured settlement, whether from the structured settlement obligor or the annuity issuer, where:

  • Net Share Settlement Amount For any Settlement Date, an amount equal to the product of (i) the number of Warrants exercised or deemed exercised on the relevant Exercise Date, (ii) the Strike Price Differential for the relevant Valuation Date and (iii) the Warrant Entitlement.

  • Settlement Funds means Standard Settlement Funds and Maximizing Settlement Funds.

  • Call Settlement Date means the fifth Business Day following the last Index Business Day in the Call Measurement Period.

  • Cash Settlement Averaging Period means, with respect to a Security that is tendered for conversion in accordance with this Article X, the twenty (20) consecutive Trading-Day period that begins on, and includes, the third (3rd) Trading Day after the Conversion Date for such Security; provided, however, that if such Conversion Date is on or after the twenty third (23rd) scheduled Trading Day prior to the Maturity Date, then the Cash Settlement Averaging Period with respect to such conversion shall be the twenty (20) consecutive Trading-Day period that begins on and includes the twentieth (20th) scheduled Trading Day prior to the Maturity Date.

  • Physical Settlement shall have the meaning specified in Section 14.02(a).

  • Physical Settlement Date means the date specified as such in any Physical Settlement Notice, which shall be not earlier than 10 nor later than 20 Business Days after the date on which the Physical Settlement Notice is given.

  • Cash Settlement Date means, for each Financially Settled Futures Transaction, the Business Day determined by Exchange from time to time in accordance with industry practice for such Transaction, as posted on Exchange’s Website not less than one month prior to the occurrence of such date, other than Invoices issued as a result of a Contracting Party’s Default or under the Close- out Procedure which amounts require payment immediately;

  • Viatical settlement provider means a person, other than a viator, who enters into or effectuates a viatical settlement contract. Viatical settlement provider does not include:

  • Maximum Settlement Amount means $500,000,000 as amended or modified in accordance with Appendix E.

  • Daily Settlement Amount for each of the 40 consecutive Trading Days during the Observation Period, shall consist of:

  • Structured settlement means an arrangement for periodic payment of damages for personal injuries established by settlement or judgment in resolution of a tort claim or for periodic payments in settlement of a workers’ compensation claim.

  • Share Settlement means a number of shares of Class A Common Stock (together with any Corresponding Rights) equal to the number of Redeemed Units.

  • Settlement Method Election Date With respect to any Settlement of any Transaction, the 2nd Scheduled Trading Day immediately preceding (x) the Valuation Date for such Transaction, in the case of Physical Settlement, or (y) the First Unwind Date for such Transaction, in the case of Cash Settlement or Net Share Settlement.
