Total Redemption Amount definition

Total Redemption Amount means an amount equal to the sum of (a) all Administrative Expenses payable under the Priority of Payments (including the fees and expenses incurred by the Trustee and the Asset Manager in connection with such sale of Underlying Assets and Eligible Investments and/or related to a Refinancing that have not otherwise been paid or provided for on or before the Redemption Date), (b) any accrued and unpaid amounts due to any Hedge Counterparty (including any termination payments), (c) any accrued and unpaid Senior Asset Management Fee and (d) the Redemption Prices of the Secured Notes.

Total Redemption Amount means (a) before the Accelerated Amortization Date, the aggregate amount (without duplication) in immediately available funds required to pay all amounts payable under the Priority of Payments before the payment of Excess Principal Proceeds to the Preference Share Payment Account (including fees and expenses incurred by the Issuer, the Trustee, the Auction Agent and the Collateral Manager in connection with the Auction Call Redemption), to pay any amounts due and payable by the Issuer pursuant to the Hedge Agreements, to redeem the Notes on the scheduled Redemption Date at the applicable Redemption Price therefor, and to redeem the Preference Shares at the applicable Minimum Preference Share Redemption Price as set forth in Schedule E attached hereto (the "Minimum Preference Share Redemption Price") and (b) on and after the Accelerated Amortization Date, the Total Senior Redemption Amount for the Redemption Date of such Auction Call Redemption (the "Auction Call Redemption Date").

Total Redemption Amount means 100% of the outstanding principal amount, together with accrued interest, and all other amounts accrued or outstanding under the Bonds.

• In the Redemption Notice as completed by a Participant shall inter alia be set forth the Total Redemption Amount for which the Participant requests redemption of Participations or the number of the Participations to be redeemed.

• In the case of a Refinancing of all Outstanding Rated Notes, the proceeds from the Refinancing (the “Refinancing Proceeds”) shall be at least equal to the Total Redemption Amount.

• The Total Redemption Amount will be paid to the redeeming Participant within eleven (11) Business Days after the applicable Redemption Date, provided that the Fund has received the redemption proceeds from the relevant Investee Fund, unless exceptional circumstances occur, in which case the Total Redemption Amount will be paid at the earliest possible Business Day thereafter.

• The Total Redemption Amount may be paid earlier to the redeeming Unitholder at the sole discretion of the Fund Manager.

More Definitions of Total Redemption Amount

Total Redemption Amount means, with respect to any Redemption Order, the applicable Creation Amount multiplied by the number of Creation Units being redeemed, as specified in such Redemption Order.
