Top Vendor definition

Top Vendor means the top vendors of the Company and its subsidiaries to which the Company and its subsidiaries paid $10,000,000 or more during fiscal year 2018, in each case, as listed in Section 9.5(rr) of the Company Disclosure Schedule.
Top Vendor means each of the Company’s top 12 vendors (including suppliers and licensors) as determined by the aggregate value of total purchases or payments during the twelve-month period ended September 30, 2021.
Top Vendor has the meaning set forth in Section 3.19(a).

Examples of Top Vendor in a sentence

  • To the Knowledge of the Seller Parties, there is no development specifically affecting any Top Customer, Sponsor Partner, Applicable Payment Network, Referral Partner or Top Vendor that would impair, in any material respect, the ability of such Top Customer, Sponsor Partner, Applicable Payment Network, Referral Partner or Top Vendor to perform its obligations under its Contracts with the Company in accordance with its respective terms.

  • Except as set forth in Section 4.17 of the Disclosure Schedules, no Top Customer or Top Vendor has as of the date of this Agreement cancelled or terminated in writing, or to Seller’s Knowledge provided any other notice, to Seller that it intends to cancel or otherwise terminate or materially reduce its relationship with the Business.

  • Since December 31, 2022, no such Top Customer or Top Vendor has provided the Company notice that it will discontinue doing business with the Company or its Subsidiaries, or reduce, or detrimentally modify the terms of, the business that it conducts with the Company and its Subsidiaries.

  • The Company has not received any notice, and the Seller Parties have no Knowledge to the effect that, any Top Customer, Sponsor Bank, Top Agent or Top Vendor may terminate or materially alter its business relations with the Company, either as a result of the transactions contemplated by this Agreement or otherwise.

  • No Top Customer or Top Vendor has made any written or, to the Knowledge of Sellers, oral claim seeking indemnification, contribution, reimbursement or subrogation by or against any Purchased Company or the Purchased Subsidiary, in any such case in respect of a claim made by a third party against such Top Customer or Top Vendor.

  • NYS Vendor ID means the ten-character identifier issued by New York State when a vendor is registered on the Vendor File.

All Affiliated Employers shall be taken into account as a single employer, and Leased Employees within the meaning of Code Sections 414(n)(2) and 414(o)(2) shall be considered Employees unless such Leased Employees are covered by a plan described in Code Section 414(n)(5) and are not covered in any qualified plan maintained by the Employer. Employees who are non-resident aliens and who received no earned income (within the meaning of Code Section 911(d)(2)) from the Employer constituting United States source income within the meaning of Code Section 861(a)(3) shall not be treated as Employees. Additionally, for the purpose of determining the number of active Employees in any year, the following additional Employees shall also be excluded; however, such Employees shall still be considered for the purpose of identifying the particular Employees in the Top Paid Group:

  • Transferring Former Supplier Employees in relation to a Former Supplier, those employees of the Former Supplier to whom the Employment Regulations will apply on the Relevant Transfer Date; and

The definition also includes (i) if a business entity is a for-profit corporation, any officer of the corporation and any other person or business entity that owns or controls 10% or more of the stock of the corporation; (ii) if a business entity is a professional corporation, any shareholder or officer; (iii) if a business entity is a general partnership, limited partnership or limited liability partnership, any partner; (iv) if a business entity is a sole proprietorship, the proprietor; (v) if the business entity is any other form of entity organized under the laws of New Jersey or any other state or foreign jurisdiction, any principal, officer or partner thereof; (vi) any subsidiaries directly or indirectly controlled by the business entity; (vii) any political organization organized under 26 U.S.C.A. § 527 that is directly or indirectly controlled by the business entity, other than a candidate committee, election fund, or political party committee; and (viii) with respect to an individual who is included within the definition of “business entity,” that individual's civil union partner and any child residing with that person. 1

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.
