Toll Manufacturer definition

Toll Manufacturer means a toll manufacturer that Licensee uses to have made for direct sale to Licensee only, Cathode Powder, Electrode Systems, Cells, or Complex Systems under contract with Licensee, subject to Section 2.5.

  • In such cases where Production Technology is intended to be used by a Third Party Toll Manufacturer, DSM will obtain Committee approval before proceeding.

  • Any Cathode Powder, Cells, Electrode Systems, and Complex Systems including Licensed Products not sold by Licensee, Procter & Xxxxxx, any Toll Manufacturer, or any Joint Venture after this nine (9)-month period shall not be covered by any of the licenses granted to Licensee under this Agreement.

  • DSM hereby guarantees that each of its Affiliates and any Third Party Toll Manufacturer that shall become a sublicensee of DSM pursuant to Section 7.4(c) of this Agreement with respect to the Martek Proprietary Technology, Excluded Subject Matter, and/or Martek R&D Patents and shall abide by the restrictions set forth in this Agreement in respect of any such sublicensed Martek Proprietary Technology, Excluded Subject Matter, and/or Martek R&D Patents.

  • Licensee may supply Cathode Powder to a Toll Manufacturer for the purpose of such Toll Manufacturer manufacturing Electrode Systems, Cells or Complex Systems for supply to Licensee.

  • Martek may produce such ARA Products at a Third Party Toll Manufacturer using the DSM Proprietary Technology and/or Production Technology, provided that such Third Party Toll Manufacturer shall be reasonably acceptable to DSM taking into consideration all the facts and circumstances, including without limitation DSM’s proprietary interests in the DSM Proprietary Technology and/or Production Technology.

  • Should a Toll Manufacturer manufacture both Cathode Powder and Electrode Systems for Licensee, it shall count as both a Cathode Powder Toll Manufacturer and an Electrode Systems Toll Manufacturer for purposes of the limitation of the total number of such Toll Manufacturers.

  • Licensee may only use a Toll Manufacturer that is located in a jurisdiction where enforcement of contractual obligations is practicable and effective injunctive relief is generally available through its court system.
