Possession of the Property shall be delivered at Closing, subject to those matters contained in the Deed, Title Commitment and this Contract.
Seller and Xxxxx shall execute and deliver any notices, statements, certificates, affidavits, releases or other documents required by this Contract, the Title Commitment (as hereinafter defined) or applicable law, including the Deeds described in Paragraph 8 of this Contract and an Assignment and Assumption of Leases which shall assign any leases of the Property to Buyer.
The Closing shall be on a date specified by Purchaser which shall be no later than the Closing Date defined above; provided however, the Closing Date may be delayed up to Sixty (60) days to allow sufficient time for completion of the Survey, obtaining of the Title Commitment, and other contractual steps.
Written notice by Xxxxx of unmerchantability of title or of any other unsatisfactory title condition shown by the Title Documents shall be signed by or on behalf of Buyer and given to Sellers on or before ten (10) calendar days after Xxxxx’s receipt of the Title Insurance Commitment, or within five (5) calendar days after receipt by Buyer of any Title Document(s) or endorsement(s) adding new Exception(s) to the Title Commitment together with a copy of the Title Document adding new Exception(s) to title.
Except as disclosed on Schedule 8.2, Seller has received no written notice of any actions against the Property, or any portion thereof, based upon a violation by Seller of any local, state or federal laws and Seller has not entered into any commitments or agreements with any governmental authorities or agencies affecting the Property, or any portion thereof, that will not be included as special exceptions in the Title Commitment or have not already expired or terminated.
