Accrued Ticking Fees shall be payable in Sterling on the Closing Date and on such other date on which the Commitments terminate.
The payment by Borrower of (x) any accrued and unpaid Delayed Draw Ticking Fees to the Administrative Agent on behalf of the Delayed Draw Term Loan Lenders and (y) the Delayed Draw Upfront Fee.
Accrued Delayed Draw Ticking Fees shall be payable in arrears on the earlier to occur of (A) the Delayed Draw Funding Date, or (B) the date (or, if such date is not a Business Day, the Business Day immediately following such date) on which all of the Delayed Draw Term Loan Commitments shall have expired or been terminated.
