• Amounts prepaid on account of the Term Loans may not be reborrowed.

• Amounts repaid or prepaid in respect of the Term Loans may not be reborrowed.

• If the Administrative Agent or any Lender shall receive interest in an amount that exceeds the Maximum Rate, the excess interest shall be applied to the principal of the Term Loans or, if it exceeds such unpaid principal, refunded to the Borrower.

• The Borrower may not reborrow any portion of the Term Loans once repaid.

• Each payment (including prepayment) on account of any fee and any reduction of the Term Loans shall be made pro rata according to the Term Commitments of the relevant Lender.
