  • The Executive therefore agrees not to make any public disclosure of material information related to The Hub Group without the prior written consent of Hub.

  • Notwithstanding the foregoing, the Executive undertakes and agrees to disclose unpublished material information related to The Hub Group to Hub’s Chief Legal Officer or such other person of authority employed by Hub as may be appropriate under the circumstances, if the Executive has reason to believe that such information is not then known by the appropriate person(s) of authority employed by Hub.

  • The Hub Group shall at all times maintain its Net Worth of not less than the Minimum Required Amount.

  • The Executive acknowledges and agrees that the restrictions in this Section 4 are necessary and fundamental to the protection of the legitimate business interests of The Hub Group and are reasonable.

  • The Hub Group shall as of the last day of each fiscal quarter of the Public Hub Company (commencing on March 31, 1999) maintain EBITDAM for the four fiscal quarters of the Public Hub Company then ended at not less than (i) $35,000,000 from the date hereof through and including December 30, 2000 and (ii) $40,000,000 from December 31, 2000 and thereafter.

Related to The Hub Group

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.

  • Partnership Group Member means any member of the Partnership Group.

  • AMC means Annual Maintenance Contract

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • CBC means the Collective Bargaining Committee

  • Parent Group has the meaning set forth in Section 8.03(c).

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • CBS shall have the meaning set forth in the Preamble.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Company Group Member means each member of the Company Group.

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • Newco has the meaning set forth in the first paragraph of this Agreement.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Supplier Group means the Supplier and its Affiliates from time to time and "Supplier Group Company" means any company or corporation within the Supplier Group;

  • VAT Group means a group for the purposes of the VAT Grouping Legislation.

  • financial group means a group that consists of a legal person or legal arrangement exercising control and coordinating functions over the rest of the group for the application of group supervision under the Core Principles, and its branches and subsidiaries that are financial institutions as defined in section 27A(6) of the MAS Act or the equivalent financial institutions outside Singapore;

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.
