Termination Surviving Obligations definition

Termination Surviving Obligations means the rights, liabilities and obligations set forth in Sections 5.2, 5.3, 5.4, 12.1, Articles XIII and XIV, 16.1, 18.2 and 18.8, and any other provisions which pursuant to their terms survive any termination of this Agreement.

Examples of Termination Surviving Obligations in a sentence

  • The Closing Surviving Obligations and the Termination Surviving Obligations will survive the Closing or termination of this Agreement, as applicable, without limitation unless another period is otherwise specified in this Agreement.

  • The Termination Surviving Obligations shall survive termination of this Agreement without limitation unless a specified period is otherwise provided in this Agreement.

  • If for any reason whatsoever BKP fails to deliver the Deposit to the Escrow Agent, on or before the Deposit Deadline, then this Agreement shall automatically be deemed terminated and neither party shall have any further obligations to the other under this Agreement except for the Termination Surviving Obligations.

  • Notwithstanding the foregoing, nothing contained herein will limit Contributor’s remedies at law, in equity or as herein provided in the event of a breach by BKP of any of the Termination Surviving Obligations.
