Termination By Company Without Cause definition

Termination By Company Without Cause means any termination of Employee’s employment by Company other than (i) a Termination due to Disability or (ii) a Termination for Cause. Subject to Company’s obligations to make the Base Salary payments remaining due during the Initial Term or for the next twelve (12) months, whichever is longer, nothing in this Agreement shall be construed to limit the right of Company to terminate Employee’s employment at any time for cause or without cause. A termination on account of Employee’s death shall not be deemed a termination by Company.
Termination By Company Without Cause means a Participant’s Separation from Service by the Company other than (1) such a Separation from Service of a Participant who has attained Retirement Age, except following a Change in Control to the extent provided in Section 3; (2) a Termination Due to Death or Disability; (3) a Termination by Company for Cause; or (4) a Separation from Service due to a Job Elimination.

  • Constructive Termination Without Cause means the termination of the Executive’s employment at his initiative after, without the Executive’s prior written consent, one or more of the following events:

The Executive shall not have the right to receive compensation or other benefits for any period after Termination for Cause.
