Terminated Target definition

Terminated Target has the meaning set forth in Section 11.3.1.

Terminated Target is defined in Section 9.6.1.

Terminated Target. Terminated Target means (a) the Collaboration Target to which a Terminated Product is Directed; or (b) any Collaboration Target that is removed from the Collaboration Target List pursuant to Section 3.2(d).

Examples of Terminated Target in a sentence

• If the Terminated Target is the Licensed Compound Target, then all Licensed Products that Inhibit such Terminated Target will be deemed, collectively, to be Terminated Products, and all Licensed Compounds that Inhibit such Terminated Target will be deemed, collectively, to be Terminated Compounds.

• If the Terminated Target is a Research Target, then all Research Products that bind specifically to, and thereby selectively modulate, such Terminated Target will be deemed, collectively, to be Terminated Products, and all Research Compounds or Selected Research Compounds, as applicable, that bind specifically to, and thereby selectively modulate, such Terminated Target will be deemed, collectively, to be Terminated Compounds.

• Effective upon any such termination, such Target will be deemed a Terminated Target.

• Neither Party will have any further obligations under ARTICLE 4 of this Agreement insofar as it relates to a Terminated Product and the Terminated Target.

• Except as otherwise expressly provided herein, termination of this Agreement (either in its entirety or with respect to one (1) or more country(ies) or other jurisdiction(s) or with respect to a Terminated Target) in accordance with the provisions hereof shall not limit remedies that may otherwise be available in law or equity.

More Definitions of Terminated Target

Terminated Target means a Collaboration Target for which (i) BMS terminated its rights pursuant to Section 12.2, or (ii) BMS’s rights were terminated pursuant to Section 12.3.

Terminated Target means any Target that is terminated pursuant to Section 16.2 (Termination).

Terminated Target means any Target with respect to which the Agreement is terminated. If the Agreement is terminated in its entirety, then all Targets will be Terminated Targets.

Terminated Target means any Collaboration Target with respect to which this Agreement has been terminated in accordance with any of the provisions of Sections 15.2.1, 15.2.2, 15.2.3, and 15.2.6. For clarity, (a) if Sanofi fails to timely exercise the Sanofi Participation Election Right with respect to a Collaboration Target prior to the Sanofi Participation Election Deadline in accordance with Section 4.3, this Agreement will automatically terminate with respect to such Collaboration Target in accordance with Section 15.2.1 and such Collaboration Target will become a Terminated Target and (b) if this Agreement is terminated in its entirety, all Collaboration Targets will be Terminated Targets.

Terminated Target means any Collaboration Target that has under Section 21.3.1 become a “Terminated Target.”

Terminated Target means any [***] with respect to which this Agreement is terminated pursuant to ARTICLE 14 (Term and Termination).

Terminated Target means (a) both Shire Targets upon termination of this Agreement in its entirety by Sangamo pursuant to Section 15.2 or
