Terminated Plans definition

Terminated Plans means the Company’s 1996 Stock Option Plan and the Company’s 2000 Equity Incentive Plan in effect immediately prior to the Effective Date of the Plan.

Terminated Plans means (i) the Kxxxxx Aluminum Salaried Employees Retirement Plan, terminated by the PBGC effective December 17, 2003; (ii) the Kxxxxx Aluminum Pension Plan, terminated by the PBGC effective April 30, 2004; and (iii) the Kxxxxx Aluminum Inactive Pension Plan, terminated by the PBGC effective June 30, 2004.

Terminated Plans has the meaning set forth in Section 6.3.

Examples of Terminated Plans in a sentence

• No liability to the PBGC (other than required insurance premiums, all of which have been paid) has been incurred by the Borrower or any ERISA Affiliate with respect to any Guaranteed Pension Plan (other than Terminated Plans) and there has not been any ERISA Reportable Event, or any other event or condition which presents a material risk of termination of any Guaranteed Pension Plan by the PBGC.

• The Company also shall take such other actions in furtherance of terminating such Terminated Plan(s) as Parent may reasonably require.

• To the extend that shares are issued pursuant to options previously granted under the Terminated Plans, such shares will not be available for issuance under the Plan.

• At the time of termination, each of such Terminated Plans was fully funded and in compliance with all applicable Governmental Requirements.

• Each of such Terminated Plans has been terminated in accordance with the terms of such Terminated Plans and in accordance with all Governmental Requirements, including without limitation, ERISA.

More Definitions of Terminated Plans

Terminated Plans means the various versions of the Management Stock Incentive Plans of the Corporation, the 1996 Mid-Management Equity Incentive Plan of the Corporation and the 1995 Equity Incentive Plan of the Corporation, in each case as in effect on the Effective Date. The term “Terminated Plans” does not include the Directors Deferral Program. After the Effective Date, no further awards shall be granted under any of the Terminated Plans.

Terminated Plans shall have the meaning set forth in Section 4.19(p) of this Agreement.

Terminated Plans means the Plans that will be terminated at or prior to Closing, as set forth on Schedule 1.1F, whereby the County will remain the sponsor and administrator.
